All physical Economist publications, printed volumes, and reference materials specified in this Purchase Order shall be delivered to the following address in China Guangzhou: Guangzhou International Business Development Bureau, 388 Tianhe Road, Tianhe District, Guangzhou, Guangdong Province, China 510630. The Seller shall ensure that all shipments comply with the customs regulations of the People's Republic of China, including proper documentation, HS code classification, and applicable import duty declarations. Delivery to China Guangzhou shall be completed no later than 30 days from the date of this Purchase Order. Digital access licences for the Economist platform shall be activated and made available to authorised users in Guangzhou within 5 business days of confirmed payment. The Seller is responsible for all transit insurance, packaging, and handling of Economist materials until they are received and signed for by the Buyer's designated representative in Guangzhou.

Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the Seller's designated bank account. The Buyer shall remit 40% of the total Purchase Order value as an advance payment within 10 business days of the issue date, and the remaining 60% shall be due within 30 days of confirmed delivery of all Economist goods and services to China Guangzhou. Late payments shall incur a penalty of 1.5% per month on the outstanding balance. All bank transfer fees shall be borne by the Buyer. The Buyer's finance department in Guangzhou shall issue a formal payment confirmation to the Seller upon each remittance.

The Buyer reserves the right to inspect all Economist publications and materials upon arrival in China Guangzhou. Any items found to be damaged, incomplete, or not conforming to the specifications outlined in this Purchase Order must be reported to the Seller within 7 calendar days of receipt. The Seller shall replace or refund non-conforming items at no additional cost to the Buyer. Digital access to the Economist platform must be verified by the Buyer's IT team in Guangzhou within 3 business days of activation. Failure to meet quality standards shall constitute a breach of this Purchase Order.

All Economist content procured under this Purchase Order is subject to the copyright and intellectual property rights of Economist Group Publishing International Ltd. The Buyer is granted a non-exclusive, non-transferable licence to use the Economist materials for internal research, policy development, and educational purposes within the offices of the Guangzhou International Business Development Bureau in China Guangzhou. Redistribution, republication, or commercial resale of Economist content is strictly prohibited without prior written consent from the Seller.

This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC) in Geneva, Switzerland. The language of arbitration shall be English. The jurisdiction of China Guangzhou courts shall apply to any local enforcement actions related to delivery or customs matters.

This Purchase Order constitutes the entire agreement between the Buyer and the Seller regarding the procurement of Economist publications and services for use in China Guangzhou. No amendment, modification, or waiver of any provision of this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting the Economist supply chain to China Guangzhou, shall temporarily suspend the obligations of the affected party without penalty, provided written notice is given within 48 hours of the event's occurrence.

By signing below, the authorised representatives of both parties confirm their acceptance of all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Economist publications and digital services for institutional use in China Guangzhou.
