1. Any disputes arising from this Purchase Order regarding the Economist services shall be resolved through arbitration in Bogotá, D.C., in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
2. Payment Terms: Payment shall be made in Colombian Pesos (COP) via bank transfer to the account designated by the Seller. Invoices are due within thirty (30) calendar days from the date of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Banco de la República for Colombia.
3. Performance Location: All services under this Purchase Order shall be performed primarily in Bogotá, D.C., Colombia. The Economist shall maintain a dedicated workspace at the Seller's office on Calle 100, Chapinero, Bogotá, and shall be available for on-site visits to the Buyer's premises in Zona G, Bogotá, no fewer than two (2) times per month.
4. Confidentiality: The Economist and all personnel of the Seller shall treat all data, projections, and strategic information provided by the Buyer as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
5. Intellectual Property: All reports, analyses, and deliverables produced by the Economist under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Seller retains the right to use anonymized aggregate data for academic publication with prior written consent from the Buyer.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Seller, the Buyer may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all Economist services rendered up to the effective date of termination.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting Bogotá, national strikes in Colombia, or government-imposed economic restrictions.
8. Compliance: The Seller warrants that the Economist engaged under this Purchase Order holds a valid professional registration with the Colegio de Economistas de Bogotá and complies with all applicable Colombian labor, tax, and professional regulations.
