- Acceptance: This Purchase Order shall become binding upon written acceptance by the Economist, Dr. Alejandro Restrepo Gómez, within five (5) business days of the issue date. Acceptance must be communicated in writing to the Procurement Department of Andes Regional Development Corporation S.A.S. in Medellín, Colombia.
- Delivery Schedule: All deliverables outlined in Section 3 shall be completed within a period of one hundred and twenty (120) calendar days from the date of acceptance. Interim progress reports shall be submitted bi-weekly to the Purchasing Entity's project management team in Medellín.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon contract execution, 40% upon delivery of the first three deliverables (Ref 01–03), and 30% upon final acceptance of all remaining deliverables. Payments shall be processed via bank transfer to the account designated by the Economist. All payments are subject to applicable Colombian tax withholdings (retención en la fuente) as mandated by the Dirección de Impuestos y Aduanas Nacionales (DIAN).
- Intellectual Property: All reports, analyses, models, and strategic documents produced under this Purchase Order shall be the exclusive property of Andes Regional Development Corporation S.A.S. The Economist retains the right to reference the engagement in professional portfolios, provided that confidential data is redacted.
- Confidentiality: The Economist agrees to maintain strict confidentiality regarding all proprietary financial data, internal strategies, and sensitive economic information of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Colombian Law: This Purchase Order is governed by and shall be interpreted in accordance with the commercial and civil laws of the Republic of Colombia. Any disputes arising from this engagement shall be resolved through arbitration in Medellín, Antioquia, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Economist shall be compensated for all services rendered up to the date of termination, less any applicable deductions.
- Professional Standards: The Economist warrants that all analyses, projections, and recommendations shall be prepared in accordance with internationally recognized economic methodologies and professional standards. The Economist shall disclose any potential conflicts of interest prior to commencing work.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting the Medellín region or Colombia at large.
This Purchase Order is authorized and approved by the undersigned representatives of both parties. By signing below, each party acknowledges and agrees to all terms, conditions, and obligations set forth in this document regarding the engagement of the Economist for professional services in Colombia, Medellín.
