- This Purchase Order is issued by the Nile Delta Research & Academic Consortium, headquartered in Cairo, Egypt, and constitutes a binding commitment to procure the listed editions and digital access to The Economist magazine and associated publications from The Economist Group Ltd., London.
- All print materials shall be delivered to the buyer's registered address in Cairo, Egypt (42 Tahrir Square, Downtown District, Cairo 11511). The supplier is responsible for all international shipping, export documentation from the United Kingdom, and coordination with Egyptian customs authorities at Cairo International Airport (CAI) or the relevant postal customs office.
- Payment shall be made via international wire transfer to the supplier's designated bank account within forty-five (45) calendar days of the invoice date. The buyer's bank is the National Bank of Egypt, Cairo branch. All transactions are subject to the Central Bank of Egypt's foreign exchange regulations and the applicable foreign currency approval procedures.
- The digital access license for The Economist platform shall be activated no later than ten (10) business days following receipt of the signed Purchase Order and initial payment confirmation. The license is valid for one (1) calendar year from the activation date and is restricted to use within the territory of Egypt, specifically the Cairo metropolitan area and consortium-affiliated institutions.
- The supplier warrants that all copies of The Economist delivered to Egypt, Cairo shall be genuine, undamaged, and in full compliance with Egyptian import regulations for printed publications, including the approval of the Egyptian Press and Publications Authority.
- In the event of delivery delays exceeding fifteen (15) business days beyond the scheduled date, the buyer reserves the right to cancel the affected line items and receive a pro-rata refund. Force majeure events, including but not limited to regional shipping disruptions affecting the Suez Canal corridor, shall be addressed through mutual written agreement.
- All intellectual property rights in The Economist content remain the exclusive property of The Economist Group Ltd. The buyer's license permits internal academic and research use within the consortium's Cairo offices and does not extend to public redistribution, resale, or republication.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, with any disputes to be resolved through arbitration in Cairo under the rules of the Egyptian Arbitration Centre. The English language version of this document shall prevail in the event of any translation discrepancy.
- The supplier acknowledges that this Purchase Order is subject to the buyer's internal procurement policies as mandated by the Egyptian Ministry of Finance for institutional purchases exceeding EGP 1,000,000. A copy of this Purchase Order shall be filed with the buyer's finance department in Cairo for audit purposes.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications are not binding. The supplier shall confirm acceptance of this Purchase Order in writing within five (5) business days of receipt.
