All physical copies of The Economist and associated printed materials referenced in this Purchase Order shall be delivered to the buyer's premises in France Lyon, specifically at 42 Rue de la République, 69002 Lyon, France. Delivery shall be made in accordance with the DAP (Delivered at Place) Incoterm 2020. The seller assumes all risk and cost of transport until the goods are placed at the disposal of the buyer at the named destination in Lyon. The buyer shall be responsible for unloading and any applicable French customs clearance formalities, though no customs duties are anticipated as the goods are intra-EU economic publications.
Digital access credentials for The Economist platform shall be transmitted electronically to the designated procurement officer at Lyon Économique Conseil SARL no later than five (5) business days prior to the subscription commencement date of 1 September 2025.
- 6.1 This Purchase Order constitutes a binding offer. Acceptance by the seller shall be confirmed in writing within ten (10) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- 6.2 All pricing is fixed in Euro (EUR) for the duration of the subscription term. No price escalation shall apply to The Economist subscription fees during the twelve-month period covered by this order.
- 6.3 Payment shall be made via SEPA bank transfer to the seller's designated account within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with French commercial law (Code de commerce, Article L441-10).
- 6.4 The seller warrants that all copies of The Economist delivered under this Purchase Order shall be in pristine condition, free from damage, and complete in their weekly editions. Any defective or missing issues shall be replaced within five (5) business days at no additional cost.
- 6.5 The digital license for The Economist is non-transferable and restricted to the named entity in Lyon, France. Concurrent user access is limited to twenty-five (25) named individuals employed by the buyer.
- 6.6 This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Commercial Court of Lyon (Tribunal de Commerce de Lyon).
- 6.7 The buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the seller, including but not limited to failure to deliver The Economist issues on schedule for three consecutive weeks.
- 6.8 All intellectual property rights in The Economist content remain the exclusive property of The Economist Group. The buyer's license is strictly for internal research and advisory purposes within the Lyon office and does not permit redistribution, republication, or commercial resale of any The Economist material.
This Purchase Order is authorised and issued on behalf of Lyon Économique Conseil SARL, France Lyon, by the undersigned officer. The seller's acceptance of this Purchase Order for the supply of The Economist subscriptions and related services shall be evidenced by a signed copy returned to the buyer's procurement department.
