All printed materials ordered under this Purchase Order shall be delivered to the buyer's primary receiving facility at Mainzer Landstraße 142, 60329 Frankfurt am Main, Germany Frankfurt. The supplier is responsible for arranging international courier services from the United Kingdom to Germany Frankfurt, including all customs documentation, import declarations, and applicable duties. The first batch of printed The Economist subscriptions shall arrive no later than 28 June 2025. Subsequent weekly deliveries of The Economist shall be scheduled for every Thursday, arriving by 10:00 CET at the buyer's Frankfurt premises. Digital access credentials for The Economist shall be provided electronically within five (5) business days of the supplier's written acceptance of this Purchase Order.
Payment for this Purchase Order shall be made via SEPA bank transfer to the supplier's designated account. The buyer shall remit fifty percent (50%) of the total Purchase Order value as an advance payment within ten (10) business days of the supplier's confirmation. The remaining fifty percent (50%) shall be due within thirty (30) days of final delivery and acceptance of all items listed in this Purchase Order. All payments shall be processed in Euro (EUR) through the buyer's corporate banking facility in Germany Frankfurt. Late payments shall incur interest at the rate of 8% per annum above the European Central Bank reference rate, in accordance with German commercial law (HGB § 288).
- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany Frankfurt.
- The supplier warrants that all copies of The Economist delivered under this Purchase Order shall be in pristine condition, free from damage, and conform to the specifications outlined herein.
- The buyer reserves the right to inspect all delivered materials within fourteen (14) calendar days of receipt. Any discrepancies, shortages, or defects must be reported in writing to the supplier within this inspection period.
- The supplier shall maintain all intellectual property rights to The Economist content. The buyer's license is strictly for internal institutional use at the buyer's Germany Frankfurt offices and does not permit redistribution, resale, or public display beyond the licensed user base.
- Force majeure events, including but not limited to natural disasters, pandemics, government-imposed trade restrictions, or international shipping disruptions, shall excuse timely performance under this Purchase Order for a period not exceeding sixty (60) days.
- This Purchase Order may only be amended or modified by a written addendum signed and dated by both parties. Verbal agreements or informal communications shall not constitute a valid modification.
- The supplier shall comply with all applicable data protection regulations, including the EU General Data Protection Regulation (GDPR), in the handling of any subscriber information associated with this Purchase Order.
- Confidentiality: Both parties agree to treat all commercial terms, pricing, and business information exchanged in connection with this Purchase Order as strictly confidential and shall not disclose such information to third parties without prior written consent.
By signing below, both parties acknowledge and agree to all terms, conditions, quantities, and pricing set forth in this Purchase Order. The supplier's signature constitutes full acceptance of this Purchase Order and an obligation to deliver The Economist materials as specified. The buyer's signature constitutes authorisation of the Purchase Order and commitment to the payment schedule outlined in Section 5.
