All physical copies of The Economist magazine, including the annual subscriptions, quarterly special editions, and print archive sets, shall be delivered to the buyer’s registered office at Prestige Tech Park, Koramangala, Bangalore, Karnataka, India. The delivery schedule for the 25 annual subscriptions shall follow the standard weekly publication cycle of The Economist, with each issue arriving at the Bangalore premises within 48 hours of its global release date. The digital access license for Economist.com shall be activated within five (5) business days of receipt of the first invoice against this Purchase Order. The supplier, Economist Media Distribution India LLP, shall bear all costs associated with intra-Bangalore delivery and shall ensure that no customs or import duties apply, as the goods are sourced through the authorized Indian distribution channel.

  • Payment shall be made via NEFT/RTGS to the bank account specified in Section 2 within thirty (30) days from the date of invoice issuance, in accordance with the Net 30 terms stated in this Purchase Order.
  • A 10% advance payment shall be processed upon acceptance of this Purchase Order by both parties, to be adjusted against the final invoice.
  • All amounts are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated. GST at 18% shall be levied as per the Goods and Services Tax Act, 2017, applicable in India.
  • In the event of late payment, interest at the rate of 1.5% per month shall be applicable on the outstanding balance, as per standard commercial practice in Bangalore, India.
  • The buyer reserves the right to withhold payment for any goods or services found to be defective, incomplete, or not conforming to the specifications outlined in this Purchase Order.
  • This Purchase Order is governed by the laws of India, and any disputes arising from this transaction shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
  • The supplier warrants that all copies of The Economist magazine and digital content provided under this Purchase Order are genuine, legally licensed, and free from any intellectual property encumbrances.
  • The supplier shall maintain a service-level agreement (SLA) of 99.5% uptime for the digital access platform (Economist.com) during the subscription period. Failure to meet this SLA shall entitle the buyer to a pro-rata credit on the next invoice.
  • This Purchase Order may be amended only by mutual written consent of both parties. Any verbal or informal communication shall not constitute a modification of this document.
  • The supplier shall provide a comprehensive invoice with GST details, HSN/SAC codes, and a copy of the Purchase Order reference number on each billing document.
  • Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Bangalore or India, shall relieve the affected party from performance obligations for the duration of such event, provided written notice is given within 72 hours.
  • The buyer shall have the right to audit the supplier’s records related to this Purchase Order upon thirty (30) days’ prior written notice, in compliance with Indian commercial law.

This Purchase Order is issued in good faith and represents a binding commitment upon acceptance by the supplier. By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and specifications outlined in this document pertaining to the procurement of The Economist publications and services in Bangalore, India.
