- This Purchase Order constitutes a binding agreement between the Tehran International Academic & Research Consortium (hereinafter "the Buyer") and The Economist Group, International Distribution Division (hereinafter "the Seller") for the procurement of Economist publications and associated digital services.
- All Economist print materials shall be delivered to the designated receiving facility in Iran Tehran, specifically at the address stated in Section 1. The Seller assumes full responsibility for international logistics, transit insurance, and customs clearance procedures required for importation into the Islamic Republic of Iran.
- The Seller warrants that all Economist publications supplied under this Purchase Order shall be in pristine, undamaged condition, free from defects, and conforming to the specifications outlined in Section 3. Any damaged or defective items must be reported within fourteen (14) calendar days of arrival in Tehran.
- Payment shall be remitted via international wire transfer to the Seller's designated bank account within forty-five (45) days of the invoice date. The Buyer's financial institution is located in Tehran, Iran, and the Seller acknowledges that standard international banking processing times may apply. All transactions shall comply with applicable Iranian Central Bank foreign exchange regulations.
- The digital access license for the Economist platform shall be activated no later than the Required Delivery Date. The Seller shall provide the Buyer's IT department in Tehran with all necessary credentials, API documentation, and technical support contacts within five (5) business days of license activation.
- Delivery of all physical Economist publications to Iran Tehran shall be completed by 15 July 2025. In the event of delay attributable to the Seller, a penalty of 0.5% of the total Purchase Order value per calendar day of delay shall be deducted from the final invoice, up to a maximum of 10%.
- This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this agreement shall be resolved through arbitration in a mutually agreed neutral jurisdiction, with proceedings conducted in English.
- The Buyer reserves the right to modify or cancel this Purchase Order in whole or in part by providing thirty (30) days' written notice to the Seller. Cancellation after the 30-day window shall be subject to a 15% administrative fee on the remaining order value.
- All intellectual property rights associated with Economist content remain the exclusive property of The Economist Group. The institutional license grants the Buyer non-exclusive, non-transferable rights to access and display Economist content for internal academic and research purposes within the Tehran campus only.
- The Seller shall provide a comprehensive packing list, commercial invoice, certificate of origin, and all documentation required by Iranian customs authorities for the importation of printed publications into Iran Tehran. Farsi-language translations of all shipping documents shall be included at the Seller's expense.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Economist publications and services for use in Iran Tehran.
