This Purchase Order governs the procurement and delivery of The Economist publications and digital access services to the undersigned buyer located in Baghdad, Iraq. All physical shipments of The Economist print materials shall be routed through the Al-Mansour Commercial Zone warehouse in Baghdad. The vendor is responsible for arranging international freight from London to Baghdad, including all necessary export documentation from the United Kingdom and import clearance through the Republic of Iraq's Ministry of Trade. Delivery is expected within forty-five (45) calendar days from the date of this Purchase Order. The digital access license for The Economist platform shall be activated no later than ten (10) business days following receipt of the first payment installment. All shipments must comply with Iraqi customs regulations and the relevant provisions of the Iraqi Trade Law No. 31 of 2013.
4. Terms and Conditions- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by The Economist Group's International Distribution Division. The vendor shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Payment: Payment shall be made in United States Dollars (USD) via international wire transfer to the vendor's designated bank account. A 40% advance payment is due upon contract execution, with the remaining 60% due within thirty (30) days of confirmed delivery and acceptance of all items in Baghdad, Iraq.
- Quality & Inspection: The buyer reserves the right to inspect all physical copies of The Economist upon arrival at the Baghdad warehouse. Any damaged, misprinted, or incomplete items must be reported within seven (7) days of delivery. The vendor shall replace defective items at no additional cost.
- Intellectual Property: All content within The Economist publications remains the intellectual property of The Economist Group. The institutional digital license permits access exclusively to authorized personnel of the buyer in Baghdad, Iraq, and does not grant redistribution rights.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to political instability, sanctions changes, or disruptions to air and sea freight routes affecting delivery to Iraq.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in London, England, under the rules of the London Court of International Arbitration (LCIA).
- Compliance: Both parties confirm that this transaction complies with all applicable Iraqi commercial laws, international trade regulations, and anti-money-laundering statutes in force in the Republic of Iraq as of the date of this Purchase Order.
- Confidentiality: The terms, pricing, and volume details contained in this Purchase Order are confidential and shall not be disclosed to third parties without prior written consent from both parties.
