All print editions of The Economist shall be delivered no later than the second business day following the weekly publication date to the buyer's registered address in Israel Tel Aviv: 45 Dizengoff Street, Suite 702, Tel Aviv, Israel 63500. Digital access credentials for all forty-two user licenses shall be provisioned within five (5) business days of the confirmed acceptance of this Purchase Order. The seller acknowledges that delivery to Tel Aviv, Israel may be subject to Israeli customs regulations, and all applicable import documentation, including commercial invoices and certificates of origin, shall be provided by the seller at no additional cost to the buyer.
The seller guarantees that the Economist content delivered under this order shall be the complete, unaltered edition as published in London, with no regional redactions or omissions. Any disruption in delivery exceeding three consecutive business days shall entitle the buyer to a pro-rata credit against the annual subscription fee.
Payment for this Purchase Order shall be made in United States Dollars (USD) via international wire transfer to the seller's designated bank account. The total amount of USD 35,154.00 is due within thirty (30) calendar days from the date of invoice issuance. The buyer's bank, Bank Hapoalim Ltd., Tel Aviv branch, shall handle the foreign currency conversion and any applicable Israeli banking fees. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Israeli commercial law (Section 1 of the Interest on Overdue Payments Law, 5731-1971).
- 6.1 This Purchase Order constitutes a binding agreement between the parties upon written acceptance by the seller. All terms herein shall be governed by the laws of the State of Israel, with the Tel Aviv District Court holding exclusive jurisdiction over any disputes arising from this order.
- 6.2 The seller warrants that all Economist publications and digital content provided under this order are free from intellectual property encumbrances and are licensed for internal corporate use by the buyer's staff in Tel Aviv, Israel.
- 6.3 The buyer shall not redistribute, resell, or publicly display the Economist content beyond the scope of the forty-two authorized user licenses specified in this order.
- 6.4 Either party may terminate this subscription with sixty (60) days' written notice. In the event of early termination, the buyer shall be liable for the remaining proportion of the annual fee, less any unused digital access period.
- 6.5 The seller shall maintain the confidentiality of all business information exchanged in connection with this Purchase Order, in compliance with the Israeli Privacy Protection Law, 5741-1981.
- 6.6 Force majeure events, including but not limited to natural disasters, war, or governmental restrictions affecting the Israel-UK trade corridor, shall excuse delayed performance for a period not exceeding thirty (30) days.
- 6.7 All communications regarding this Purchase Order shall be directed to the contact persons listed in Section 1. Any amendments to this order must be made in writing and signed by both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the Economist subscription and related services, to be fulfilled in Israel Tel Aviv.
