Terms and Conditions

  1. Scope of Purchase: This Purchase Order is issued by Fondazione Studi Economici Lombardi S.r.l., a legally registered entity operating in Milan, Italy, for the procurement of The Economist publications, digital subscriptions, and associated materials. All items listed herein are to be supplied under the terms of the Annual Subscription Agreement No. EA-2025-IT-004.
  2. Delivery: The Seller shall deliver all physical goods to the Buyer's premises at Via Monte Napoleone, 42, 20121 Milan, Italy, no later than 30 June 2025. Delivery shall be made DDP (Delivered Duty Paid) Milan in accordance with Incoterms 2020. The Seller is responsible for all transportation, insurance, customs documentation, and Italian import formalities until the goods are physically received at the Milan address.
  3. Payment: Payment of the full invoice amount of 46,200.18 EUR (including 22% Italian IVA) shall be made via SEPA bank transfer within thirty (30) calendar days of the date of the Seller's invoice. The Buyer's bank details are: Banca Intesa Sanpaolo, IBAN IT60 X030 1503 2000 0000 0123 456, BIC BCITITMM. The Seller shall issue a compliant Italian fiscal invoice (fattura elettronica) in accordance with the Sistema di Interscambio (SdI) requirements.
  4. Quality and Conformity: All The Economist print publications shall be in their original, unblemished condition. The Italian-language summary edition (Edizione Italiana) shall be verified for typographical accuracy prior to dispatch. Digital access credentials shall be activated and functional within five (5) business days of the Buyer's written confirmation of receipt.
  5. Intellectual Property: The institutional licence for digital access to The Economist content is non-transferable and restricted to the 50 designated user seats at the Milan headquarters. Any redistribution, republication, or sublicensing of The Economist content is strictly prohibited under the terms of the licence and applicable Italian and EU copyright law (D.Lgs. 68/2003 – Codice della Proprietà Intellettuale).
  6. Warranty and Returns: The Seller warrants that all goods are free from manufacturing defects. Any damaged or incorrect items must be reported in writing within ten (10) business days of delivery to the Milan address. The Seller shall replace defective items at no additional cost within fifteen (15) business days.
  7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, war, government sanctions, or disruptions to cross-border logistics between the United Kingdom and Italy.
  8. Governing Law and Dispute Resolution: This Purchase Order and any disputes arising from it shall be governed by the laws of the Italian Republic, with particular reference to the Italian Civil Code (Codice Civile, Libro IV – Delle obbligazioni) and applicable European Union directives. Any unresolved disputes shall be submitted to the exclusive jurisdiction of the competent courts of Milan, Italy. The parties agree to attempt good-faith mediation before initiating formal litigation.
  9. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and internal communications related to this Purchase Order. This obligation shall survive the termination of the underlying subscription agreement for a period of three (3) years.
  10. Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both the Buyer in Milan and the Seller in London.
