- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via SEPA bank transfer to the account specified by The Economist Media Group Ltd. The buyer, Istituto di Studi Economici di Napoli S.r.l., shall remit payment in Euros (EUR) to the supplier's designated European account. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Italian commercial law (Codice Civile, Art. 1284).
- Delivery Schedule: The Economist weekly print editions shall be delivered to the Naples, Italy address no later than 10:00 CET on each Monday. The digital access licences shall be activated within five (5) business days of full payment confirmation. The annual almanac and outlook reports shall be dispatched within ten (10) business days of the order date.
- Warranty and Quality: The supplier warrants that all copies of The Economist publications delivered under this Purchase Order shall be in pristine, undamaged condition. Any defective or damaged items must be reported to the Naples receiving office within forty-eight (48) hours of delivery. The supplier shall replace defective items at no additional cost within seven (7) business days.
- Intellectual Property: All content published in The Economist, including articles, charts, data visualisations, and editorial commentary, remains the exclusive intellectual property of The Economist Media Group Ltd. The digital licences granted under this Purchase Order are non-transferable and restricted to the named research staff at the Naples, Italy facility.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with specific reference to commercial regulations in force in Naples, Campania. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunale di Napoli. The parties agree to attempt mediation before initiating any formal legal proceedings.
- Cancellation and Modification: The buyer may cancel or modify this Purchase Order in writing up to fourteen (14) days prior to the scheduled delivery date. Cancellations of the annual subscription (Item 001) after the first four (4) issues have been delivered shall be subject to a 15% cancellation fee. Modifications to the digital licence count (Item 002) may be requested at any time, with prorated charges applied.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, political instability, pandemics, or disruptions to international postal and courier services between the United Kingdom and Italy Naples.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and commercial details of this Purchase Order. No information pertaining to this transaction between The Economist Media Group and the Naples-based buyer shall be disclosed to third parties without prior written consent.
- Compliance: The supplier confirms that all publications and services provided under this Purchase Order comply with applicable Italian consumer protection regulations, data protection laws (including GDPR as implemented in Italy), and the specific publishing standards of the Campania region. The buyer confirms that the procurement of The Economist publications is in line with its institutional research and educational objectives in Naples, Italy.
