Terms and Conditions of This Purchase Order
- Acceptance: This Purchase Order constitutes a firm offer to purchase the goods and services of The Economist as described herein. The supplier's written acceptance of this Purchase Order within ten (10) business days shall form a binding contract between the parties.
- Delivery: All print copies of The Economist magazine shall be delivered to the designated receiving office at Safaricom House, Waiyaki Way, Kenya Nairobi, no later than the Required Delivery Date stated above. Digital access credentials and archive licenses shall be activated and made available to authorized users in Kenya Nairobi within five (5) business days of receipt of payment.
- Payment: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the invoice date. The buyer shall remit payment in Kenyan Shillings (KES) to the supplier's local banking partner in Kenya Nairobi or in British Pounds Sterling (GBP) to the supplier's London account, at the exchange rate prevailing on the date of remittance.
- Taxation and Duties: The buyer is responsible for all applicable Kenyan taxes, including Value Added Tax (VAT) at the rate of 16% as determined by the Kenya Revenue Authority (KRA), and any import duties levied on physical periodicals entering Kenya Nairobi. The supplier shall provide all necessary documentation, including commercial invoices, certificates of origin, and customs declarations, to facilitate smooth clearance at the Kenya Nairobi port of entry.
- Quality and Compliance: All issues of The Economist delivered under this Purchase Order shall be in their original, unaltered, and undamaged condition. The digital platform shall maintain a minimum uptime of 99.5% as measured from the Kenya Nairobi network. Any defective or missing issues shall be replaced within seven (7) business days at no additional cost to the buyer.
- Intellectual Property: The licenses granted under this Purchase Order are strictly for internal, non-commercial use by the named employees of the buyer located in Kenya Nairobi. Redistribution, republication, or sublicensing of The Economist content is expressly prohibited without prior written consent from The Economist Group, Ltd.
- Termination: Either party may terminate this Purchase Order or the resulting contract with thirty (30) days' written notice. In the event of termination, the buyer shall be entitled to a pro-rata refund for any unused portion of the The Economist subscription period.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to arbitration in Kenya Nairobi under the rules of the Nairobi Centre for International Arbitration (NCIA).
- Governing Law: This Purchase Order and any contract formed hereunder shall be governed by and construed in accordance with the laws of the Republic of Kenya, including the Contracts Act (Cap 23) and the Consumer Protection Act, 2012.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to international mail and digital infrastructure affecting Kenya Nairobi.
