2. Payment shall be made via wire transfer to the seller's designated bank account within thirty (30) calendar days of the invoice date. Late payments shall incur a penalty of 1.5% per month on the outstanding balance.
3. The seller warrants that all copies of The Economist and associated publications are genuine, unaltered, and in full compliance with international publishing standards. Any defective or damaged items shall be replaced at the seller's sole expense within fourteen (14) days of written notice from the buyer.
4. The institutional digital license for The Economist is non-transferable and restricted to the named buyer entity operating in Kuwait, Kuwait City. Unauthorized redistribution of digital content is strictly prohibited and shall result in immediate termination of the license.
5. Force majeure events, including but not limited to natural disasters, government sanctions, or disruptions to international shipping routes affecting the Gulf region, shall excuse timely performance. The affected party must notify the other within seventy-two (72) hours of the event.
6. All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in London, United Kingdom. The language of arbitration shall be English.
7. The buyer reserves the right to inspect all delivered goods upon arrival in Kuwait City. Any discrepancies in quantity, condition, or content must be reported in writing within five (5) business days of delivery.
8. This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not accepted within this period, the buyer may issue a revised Purchase Order at updated pricing.

The buyer requests that all printed editions of The Economist be routed through the seller's established logistics partner for the Middle East region to ensure timely delivery to Kuwait, Kuwait City. The buyer's office operates on a Sunday-through-Thursday work week in accordance with Kuwaiti commercial practice. Delivery personnel should be advised that the receiving office is open from 8:00 AM to 4:30 PM (AST, UTC+3) on those days. A copy of this Purchase Order and the corresponding commercial invoice must accompany all shipments for customs clearance purposes in Kuwait. The buyer's customs broker in Kuwait City (Al-Rashid Customs & Freight, License No. KWT-CF-2021-0087) will handle all import documentation on behalf of the buyer.
