- Governing Law: This Purchase Order and all transactions arising from it shall be governed by and construed in accordance with the laws of New Zealand, specifically the Consumer Guarantees Act 1993 and the Fair Trading Act 1986, as applicable to commercial transactions in Auckland, New Zealand.
- Delivery: All physical copies of The Economist shall be delivered to the Buyer's registered address in Auckland CBD, New Zealand, no later than the Required Delivery Date stated in Section 3. Weekly print issues must arrive at the Auckland facility by 9:00 AM (NZST) on the day of publication to ensure timely distribution to staff and clients.
- Payment: Payment shall be made within thirty (30) calendar days of the date of the supplier's invoice. All payments shall be made in New Zealand Dollars (NZD) via electronic funds transfer to the supplier's designated international account. The Buyer reserves the right to withhold payment in the event of non-conforming goods or services.
- Quality & Acceptance: The Buyer shall have five (5) business days from the date of delivery to inspect all copies of The Economist for printing defects, damage in transit, or incorrect editions. Any discrepancies must be reported in writing to the Supplier within this period. The Supplier shall replace defective or damaged copies at no additional cost to the Buyer.
- Intellectual Property: The Buyer acknowledges that all content within The Economist magazine, including articles, graphics, data visualizations, and editorial material, remains the exclusive intellectual property of The Economist Group, Ltd. This Purchase Order grants the Buyer a non-transferable, non-exclusive license to reproduce and distribute copies internally within the Auckland office and to the extent specified in the subscription terms.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters (including volcanic activity or seismic events relevant to New Zealand), pandemics, government trade restrictions, or international shipping disruptions affecting delivery to Auckland, New Zealand.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the New Zealand Dispute Resolution Service, and failing that, to the District Court of Auckland, New Zealand.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination or expiry of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be entitled to a pro-rata refund for any unused portion of The Economist subscription period, less any costs already incurred by the Supplier.
- Compliance: The Supplier warrants that all goods and services provided under this Purchase Order comply with all applicable New Zealand import regulations, customs requirements, and the New Zealand Trade and Enterprise (NZTE) guidelines for international publications entering the Auckland port of entry.
This Purchase Order is issued and authorized by the undersigned on behalf of Auckland Business Media & Publications Ltd., New Zealand Auckland. By signing below, the Supplier acknowledges acceptance of all terms, conditions, and line items specified in this document relating to the supply of The Economist publications.
