1. Scope of Supply: This Purchase Order is issued by Abuja Corporate Research & Intelligence Ltd., a duly registered entity operating in Nigeria Abuja, Federal Capital Territory, for the procurement of The Economist magazine subscriptions and associated digital services. All print editions of The Economist shall be delivered to the buyer's registered office address in Nigeria Abuja, Garki District, no later than the delivery deadline stated above.
2. Delivery and Logistics: The vendor shall arrange international courier delivery of all print copies of The Economist from the United Kingdom to Nigeria Abuja. The vendor is responsible for all export documentation, international transit insurance, and coordination with the Nigerian Customs Service at the Abuja International Airport (ABV) or the nearest designated customs post. The buyer shall provide all necessary import permits, CAC registration documents, and Nigerian Tax Identification Number (TIN) to facilitate customs clearance in Nigeria Abuja.
3. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice issuance. Payment shall be processed via international wire transfer (SWIFT) to the vendor's designated bank account in London, or via a locally domiciled foreign currency account in Nigeria Abuja as mutually agreed. The buyer reserves the right to withhold the statutory 5% withholding tax as prescribed by the Federal Inland Revenue Service (FIRS) of Nigeria. All amounts in Nigerian Naira (NGN) are calculated at the Central Bank of Nigeria (CBN) official exchange rate prevailing on the date of this Purchase Order.
4. Subscription Activation: All digital subscriptions to The Economist platforms, including "The World in Brief" and "The Intelligence" briefings, shall be activated within five (5) business days of receipt of full payment. User accounts shall be provisioned for the Nigeria Abuja office staff as per the attached user manifest (Appendix A, not included in this document).
5. Quality and Compliance: The vendor warrants that all copies of The Economist delivered shall be genuine, undamaged, and of the current edition. Digital access shall be uninterrupted and in full compliance with the subscription tier purchased. Any defective or missing issues shall be replaced within ten (10) business days at no additional cost to the buyer in Nigeria Abuja.
6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with particular reference to the Federal Capital Territory (Administration) Act and the Nigerian Contracts Act. Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Nigeria Abuja under the rules of the Nigerian Arbitration and Conciliation Act, 2023.
7. Cancellation and Renewal: This Purchase Order covers a subscription period of twelve (12) months commencing from the date of first delivery. Cancellation prior to the end of the subscription term shall be subject to a penalty of 25% of the remaining subscription value. Renewal terms for the subsequent year shall be negotiated no later than sixty (60) days before the expiry of the current term.
8. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and internal communications related to this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, currency restrictions imposed by the Central Bank of Nigeria, or international shipping disruptions affecting delivery to Nigeria Abuja.
