- This Purchase Order constitutes a binding agreement between Atlantic Meridian Research Institute (Pty) Ltd, Cape Town, South Africa, and The Economist Media & Distribution (Pty) Ltd upon written acceptance by the supplier.
- All prices are quoted in South African Rand (ZAR) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 15% as per South African tax legislation.
- Payment shall be made via Electronic Funds Transfer (EFT) within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the South African Reserve Bank prime rate plus 2% per annum.
- Delivery of all physical print materials (The Economist weekly issues, annual reports, and data packs) shall be made to the designated address in Cape Town, Western Cape, South Africa. Risk of loss passes to the buyer upon signed delivery at the Cape Town premises.
- Digital access to The Economist platform and EIU resources shall be activated no later than five (5) business days following confirmation of payment. Any delay beyond this period entitles the buyer to a pro-rata extension of the subscription period.
- The supplier warrants that all The Economist publications and digital content delivered under this Purchase Order shall be authentic, current, and free from defects in material and workmanship.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall be liable for all print materials already dispatched and digital access fees accrued up to the termination date.
- This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the High Court of South Africa, Western Cape Division, Cape Town.
- The supplier shall comply with all applicable South African data protection regulations (POPIA) when handling any personal data of the buyer's staff associated with digital access accounts.
- No amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties.
