All deliveries to Johannesburg, South Africa, are subject to standard South African customs and import regulations for printed publications. TERMS AND CONDITIONS
  1. Acceptance: This Purchase Order constitutes a binding offer. The Supplier, The Economist Group, must confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order void.
  2. Delivery: All physical copies of The Economist shall be delivered to the designated addresses in Johannesburg, South Africa, as specified in the line items above. Delivery is DDP (Delivered Duty Paid) Johannesburg. The Supplier bears all risk of loss or damage until goods are received and signed for at the Johannesburg delivery point.
  3. Payment: Payment of the total amount of R 1,086,056.50 (One Million, Eighty-Six Thousand and Fifty-Six Rand and Fifty Cents) shall be made within thirty (30) calendar days of the date of invoice, by electronic funds transfer (EFT) to the bank account specified above. Late payments shall attract interest at the rate of 1.5% per month, in accordance with South African debt collection regulations.
  4. Quality & Inspection: The Buyer reserves the right to inspect all delivered copies of The Economist within seven (7) business days of receipt in Johannesburg. Any damaged, misprinted, or incorrect items must be reported in writing to the Supplier within this period for replacement or credit.
  5. Intellectual Property: The digital access license for The Economist is granted solely for internal corporate use by employees of Meridian Corporate Media & Publications (Pty) Ltd based in Johannesburg, South Africa. Redistribution, resale, or public display of The Economist content beyond the licensed user count is strictly prohibited.
  6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, port closures at the Port of Durban or Johannesburg airport, or international shipping disruptions.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
  8. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and business information exchanged in connection with this Purchase Order for a period of two (2) years from the date of issue.
  9. Amendments: No amendment, variation, or cancellation of this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties.
  10. Compliance: The Supplier warrants that all copies of The Economist supplied under this Purchase Order are genuine, legally published editions and that the supply of these publications complies with all applicable South African import, customs, and intellectual property laws.
