Note: VAT is applied at the standard Spanish rate of 21% as the place of consumption is Barcelona, Spain. The supplier is registered for reverse-charge VAT purposes under the EU VAT Directive. The Buyer shall account for VAT on their periodic Spanish VAT return (Modelo 303) if applicable under the reverse-charge mechanism.
Terms and Conditions- Scope of Purchase: This Purchase Order is issued by Barcelona Media & Publications Group, S.L., a company duly registered in Barcelona, Spain, for the procurement of The Economist magazine subscriptions, digital licenses, and printed publications. All items listed herein are subject to the terms set forth in this document and the standard terms of The Economist Group, Ltd.
- Delivery: All physical copies of The Economist magazine, including the weekly print edition, quarterly special editions, and the "The World Ahead" annual report, shall be delivered to the Buyer's premises located at Calle de la Diputació, 280, 08007 Barcelona, Spain. Delivery shall be completed no later than 1 August 2025. Digital access credentials for all The Economist online platforms shall be provided electronically within five (5) business days of the Purchase Order acceptance date.
- Payment: Payment of the total amount of EUR 11,654.72 (including 21% Spanish VAT) shall be made via SEPA bank transfer to the account designated by The Economist Group, Ltd. within thirty (30) calendar days of the date of the supplier's invoice. The Buyer's bank is Banco Santander, S.A., Barcelona branch, IBAN: ES91 0049 0001 5320 1234 5678.
- Quality and Acceptance: The Buyer reserves the right to inspect all physical The Economist publications upon arrival in Barcelona, Spain. Any damaged, missing, or incorrect items must be reported to the Supplier within ten (10) business days of delivery. The Supplier shall replace or credit any non-conforming items at no additional cost to the Buyer.
- Intellectual Property: All content of The Economist magazine, including articles, graphics, data visualizations, and the "The World in Data" dashboard, remains the exclusive intellectual property of The Economist Group, Ltd. The institutional license granted herein permits internal use by up to 50 authorized personnel of the Buyer's Barcelona office only. Redistribution, republication, or commercial exploitation of The Economist content is strictly prohibited.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with particular reference to the applicable commercial regulations in Catalonia, Barcelona. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Courts of Barcelona, Spain, unless otherwise agreed in writing by both parties.
- Force Majeure: Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure results from events beyond its reasonable control, including but not limited to natural disasters, political instability, pandemics, or disruptions to international shipping routes between the United Kingdom and Spain.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and business information exchanged in connection with this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of three (3) years.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both Barcelona Media & Publications Group, S.L. and The Economist Group, Ltd. Verbal agreements or informal communications shall not constitute valid amendments.
- Compliance: The Buyer confirms that this Purchase Order complies with all applicable Spanish and European Union procurement regulations, anti-money laundering directives, and data protection laws (including the GDPR as implemented in Spain via the LOPDGDD). The Supplier confirms that The Economist publications do not contain any content that violates Spanish public order or morality laws.
