Terms and Conditions of Purchase

  1. Delivery Location: All physical copies of The Economist shall be delivered to the buyer's headquarters located at Paseo de la Castellana, 120, 28046 Madrid, Spain. Digital access credentials shall be provisioned to the buyer's Madrid-based IT department within five (5) business days of confirmed payment.
  2. Payment Terms: Net 30 days from the date of invoice issuance. Payment shall be made via SEPA bank transfer to the supplier's account held at Banco Santander, S.A., Madrid branch. IBAN: ES91 0049 0001 5320 1234 5678. The buyer shall bear no additional banking fees within the Spanish SEPA zone.
  3. Applicable Law: This Purchase Order is governed by the laws of the Kingdom of Spain, specifically the Spanish Civil Code (Código Civil) and the Commercial Code (Código de Comercio). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.
  4. Tax Compliance: All amounts are subject to the Value Added Tax (Impuesto sobre el Valor Añadido, IVA) at the standard rate of 21% as applicable in the Community of Madrid, Spain. The supplier shall issue a valid Spanish fiscal invoice (factura) in compliance with the Ley 58/2003 General Tax Law.
  5. Subscription Period: The annual subscription for The Economist shall commence on 1 January 2025 and expire on 31 December 2025. Renewal terms for subsequent years in Madrid shall be negotiated no later than 30 November of the current subscription year.
  6. Quality and Acceptance: The buyer reserves the right to inspect all printed materials of The Economist upon delivery in Madrid. Any damaged, misprinted, or incorrect items must be reported within seven (7) calendar days of receipt. The supplier shall replace defective items at no additional cost within ten (10) business days.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order. The distribution of The Economist content within the buyer's Madrid offices is limited to internal corporate use and shall not be redistributed to third parties without written consent.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates in Spain, or disruptions to postal and digital delivery services within the Madrid metropolitan area.
  9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all issues of The Economist already delivered or for which digital access has been activated up to the termination date.
  10. Language: This Purchase Order is executed in English. In the event of any discrepancy with a Spanish-language translation, the English version shall prevail for commercial purposes, while the Spanish version shall govern for legal proceedings before the courts of Madrid, Spain.
