All print materials under this Purchase Order shall be shipped from the United Kingdom to Sri Lanka Colombo via international air freight through Bandaranaike International Airport (CMB), Colombo. The authorized regional agent, Lanka Media Distribution Pvt. Ltd., shall handle customs clearance at the Colombo Customs Office and ensure that all import documentation, including the commercial invoice, packing list, certificate of origin, and Sri Lankan import permit, is processed in accordance with the regulations of the Sri Lanka Customs Department and the Central Bank of Sri Lanka. Weekly print deliveries of The Economist shall be made to the following Colombo locations: (a) CBIRI Main Office, Galle Road, Colombo 03; (b) CBIRI Research Annex, World Trade Centre, Colombo 01; and (c) CBIRI Public Reading Room, Colombo 07. Delivery shall occur every Thursday, no later than 10:00 AM Sri Lanka Standard Time (SLST).
5. TERMS AND CONDITIONS- This Purchase Order constitutes a binding agreement between the Buyer (CBIRI, Colombo) and the Seller (The Economist Group, London) upon written acceptance by both parties. All terms are governed by the laws of the Democratic Socialist Republic of Sri Lanka, with reference to the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- Payment shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days from the date of invoice issuance. The Buyer shall bear any applicable foreign exchange conversion charges as determined by the Central Bank of Sri Lanka on the date of payment.
- The Seller warrants that all copies of The Economist supplied under this Purchase Order are genuine, undamaged, and in full compliance with international publishing standards. Any defective or damaged copies shall be replaced at the Seller's expense within fourteen (14) days of written notice from the Buyer in Colombo.
- Intellectual property rights to The Economist content, including all articles, analyses, graphics, and digital archives, remain the exclusive property of The Economist Group. The Buyer is granted a non-transferable, non-exclusive license to use the materials solely for internal research, educational, and briefing purposes within Sri Lanka Colombo. No redistribution, republication, or commercial exploitation of The Economist content is permitted without prior written consent.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters (cyclones, tsunamis, earthquakes), government sanctions, port closures at Colombo, or international trade restrictions imposed by the Sri Lankan government.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties in Colombo. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Sri Lanka Arbitration Act No. 11 of 1995, with the seat of arbitration in Colombo, Sri Lanka.
- This Purchase Order is valid for a period of twelve (12) months from the date of acceptance. Renewal shall be subject to mutual written agreement and may be subject to price adjustments based on the Sri Lankan Rupee exchange rate and international postal cost indices.
- All communications regarding this Purchase Order shall be directed to the procurement department of CBIRI in Colombo or the International Distribution Division of The Economist Group in London, as specified in Sections 1 and 2 above.
