- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All terms herein govern the procurement of The Economist publications and digital services for use in Sudan Khartoum.
- The Seller shall ensure that all print copies of The Economist are dispatched within five (5) business days of confirmation of this Purchase Order. Digital access credentials shall be provided within two (2) business days of receipt of full payment.
- Delivery of all physical materials shall be made to the Buyer's designated address in Sudan Khartoum, Omdurman District. The Seller is responsible for all international shipping, export documentation, and coordination with Sudanese customs authorities to ensure smooth clearance of the Economist publications into the Republic of the Sudan.
- Payment shall be made via international wire transfer to the Seller's designated bank account within thirty (30) calendar days of the date of this Purchase Order. The Buyer shall bear any applicable banking fees. All amounts are denominated in United States Dollars (USD).
- The institutional digital license for The Economist platform is restricted to users physically located at or affiliated with the Nile Valley Academic Research Institute in Sudan Khartoum. Unauthorized redistribution or sharing of access credentials is strictly prohibited.
- In the event of force majeure, including but not limited to political instability, natural disasters, or disruptions to international shipping routes affecting delivery to Sudan Khartoum, either party may request a reasonable extension of delivery timelines without penalty. The Seller shall notify the Buyer in writing within forty-eight (48) hours of any such event.
- All intellectual property rights in The Economist content, including articles, data, graphics, and the historical archive, remain the exclusive property of The Economist Group, Ltd. The Buyer is granted a non-exclusive, non-transferable license to use the content for internal academic and research purposes within Sudan Khartoum only.
- This Purchase Order shall be governed by and construed in accordance with the laws of the United Kingdom, with the exception of matters relating to local delivery and customs in Sudan Khartoum, which shall be governed by the applicable laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in London, England.
- The Buyer reserves the right to audit the Seller's compliance with the terms of this Purchase Order upon thirty (30) days' written notice. The Seller shall maintain all records related to this transaction for a minimum of three (3) years.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. No verbal modifications shall be considered valid or binding.
