Delivery shall be completed no later than 01 July 2025. The Seller shall provide tracking numbers and customs declaration documents (Gümrük Beyannamesi) for all shipments destined for Turkey Ankara. Digital licenses and podcast accounts shall be activated and made accessible to the Buyer's IT department in Turkey Ankara within five (5) business days of the confirmed payment date.

• Payment shall be made via international wire transfer (SWIFT) to the Seller's designated bank account within thirty (30) calendar days from the date of invoice issuance, in accordance with this Purchase Order.
• The Buyer shall remit payment in US Dollars (USD) to the Seller's account. The exchange rate shall be the central bank of the Republic of Turkey (TCMB) rate on the date of payment, applicable to transactions in Turkey Ankara.
• A 1.5% late payment penalty shall apply for any payment received after the due date, calculated on the outstanding balance of this Purchase Order.
• All applicable Turkish import duties, customs fees, and Value Added Tax (KDV) for the delivery of Economist publications to Turkey Ankara shall be borne by the Buyer as itemized above.
• The Buyer reserves the right to withhold payment for any Economist items that are damaged, incomplete, or not conforming to the specifications outlined in this Purchase Order.

• This Purchase Order constitutes a binding agreement between Ankara Business Solutions Ltd. (Buyer) and Economist Media Distribution International Ltd. (Seller) upon signature by both parties.
• All Economist publications and digital content supplied under this Purchase Order are licensed for internal use by the Buyer's employees and executives located in Turkey Ankara. Redistribution, resale, or public display of Economist content beyond the licensed scope is strictly prohibited.
• The Seller warrants that all Economist print materials shall be in new, undamaged condition and that all digital access credentials shall be valid for the full subscription period.
• In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Istanbul Chamber of Commerce, with proceedings conducted in Turkey Ankara.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey, with specific reference to commercial transaction regulations applicable in Turkey Ankara.
• Any modifications or amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the supply of Economist materials to Turkey Ankara shall not be binding.
• The Seller shall maintain adequate product liability insurance covering the transit of Economist publications from the United Kingdom to Turkey Ankara for the duration of this transaction.
• Force majeure events, including but not limited to natural disasters, government sanctions, or international shipping disruptions affecting delivery to Turkey Ankara, shall excuse timely performance of this Purchase Order for the duration of such event, provided written notice is given within five (5) business days.
