All physical Economist publications and printed reports shall be delivered to the buyer's registered office at Dubai International Financial Centre, United Arab Emirates Dubai, no later than 10 business days from the date of this Purchase Order. The digital enterprise license for the Economist platform shall be activated and made accessible to all authorized users within 5 business days of confirmed payment. The supplier, Economist Group Distribution Middle East FZE, assumes full responsibility for customs clearance, import duties (if applicable under UAE free zone regulations), and last-mile delivery within the United Arab Emirates Dubai municipality. Any delay exceeding the stipulated timeframe shall entitle the buyer to a 2% per diem penalty on the affected line items.
Payment for this Purchase Order shall be made via bank transfer to the supplier's designated corporate account within the United Arab Emirates Dubai banking network. The full amount of AED 333,217.50 is due within thirty (30) calendar days from the date of invoice issuance, which shall follow the confirmed delivery and acceptance of all Economist products and services listed herein. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Commercial Transactions Law of the United Arab Emirates. The buyer reserves the right to withhold payment for any line item that fails to meet the quality and specification standards outlined in this Purchase Order. All transactions are subject to the Federal Tax Authority (FTA) regulations governing Value Added Tax (VAT) in the United Arab Emirates Dubai.
The buyer shall have a period of seven (7) business days following delivery to inspect all Economist publications, verify the functionality of the digital platform, and confirm that all items conform to the specifications stated in this Purchase Order. Any discrepancies, damaged copies, or service deficiencies must be reported in writing to the supplier within the inspection window. Disputes arising from this Purchase Order shall be resolved through amicable negotiation first, and if unresolved within thirty (30) days, shall be submitted to arbitration under the rules of the Dubai International Arbitration Centre (DIAC) in United Arab Emirates Dubai. The governing law for this Purchase Order shall be the federal laws of the United Arab Emirates, with specific reference to the commercial regulations applicable in Dubai.
This Purchase Order constitutes a binding agreement between the buyer and the supplier upon execution by both authorized signatories. No modification, amendment, or cancellation of this Purchase Order shall be valid unless made in writing and signed by both parties. The supplier warrants that all Economist content, including but not limited to the magazine, digital platform, and Intelligence Unit reports, is original, free from intellectual property encumbrances, and licensed for commercial use within the United Arab Emirates Dubai. The supplier shall maintain adequate insurance coverage for the duration of this contract. This Purchase Order is issued in accordance with the buyer's internal procurement policy and the applicable trade regulations of the United Arab Emirates Dubai. Both parties acknowledge that this document is executed in the English language and shall be interpreted accordingly.
