All physical copies of The Economist shall be delivered to the buyer's registered office at 18 Corporation Street, Birmingham, B3 1BB, United Kingdom. Digital access credentials for The Economist platform shall be provisioned to the designated Birmingham office administrator no later than the Required Delivery Date stated above. The supplier acknowledges that this Purchase Order is governed by the laws of England and Wales, and all disputes arising from this transaction shall be resolved in the courts of Birmingham, United Kingdom. The Economist subscription shall commence on 01 July 2025 and remain active for a period of twelve (12) months, subject to the renewal terms outlined in Section 7 of this Purchase Order.

Payment for this Purchase Order shall be made via direct bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. The buyer, operating from Birmingham, United Kingdom, shall include the Purchase Order reference number UK-BHM-2025-04871 in all payment communications to ensure accurate reconciliation. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, applicable throughout the United Kingdom.

7.1 This Purchase Order constitutes a binding agreement between the buyer in Birmingham, United Kingdom, and The Economist Media Group upon acceptance by the supplier.

7.2 The Economist subscription content is licensed for internal use by the named Birmingham office personnel only and shall not be redistributed, resold, or made publicly accessible without prior written consent.

7.3 The supplier warrants that all issues of The Economist delivered under this Purchase Order shall be in complete and undamaged condition. Any defective or missing issues shall be replaced within five (5) working days at no additional cost.

7.4 This Purchase Order may be amended only by mutual written agreement between both parties. Any variation to the scope, quantity, or pricing must be documented as a formal amendment to this Purchase Order.

7.5 The buyer reserves the right to cancel this Purchase Order with sixty (60) days' written notice prior to the renewal date, in which case a pro-rata refund shall be issued for any unused portion of the The Economist subscription.

7.6 All personal data processed in connection with this Purchase Order shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, as applicable in the United Kingdom.

7.7 This Purchase Order is subject to the standard terms of trade of the buyer, as registered in Birmingham, United Kingdom, unless expressly superseded by the terms stated herein.

This Purchase Order is issued and authorised by the undersigned on behalf of Midlands Economic Research & Advisory Group Ltd., Birmingham, United Kingdom. The supplier is requested to confirm acceptance of this Purchase Order by signing and returning a copy within five (5) working days of receipt.
