All physical items specified in this Purchase Order shall be delivered to the following address in London, United Kingdom: Thames River Corporate Media Ltd., 14 Fleet Street, London EC4Y 1AA, United Kingdom. Delivery of The Economist printed editions shall commence on the first Monday following the effective date of this Purchase Order and shall continue on a weekly basis throughout the subscription term. The vendor is responsible for all transportation costs, insurance, and handling within the United Kingdom. Digital access credentials for The Economist platforms shall be provisioned electronically to the designated IT administrator at the London office no later than five (5) business days prior to the required delivery date. Any delays in delivery attributable to the vendor shall be subject to the penalty clauses outlined in Section 6 of this Purchase Order.

Payment for all goods and services under this Purchase Order shall be made in British Pounds Sterling (GBP) via direct bank transfer to the vendor's designated account. Invoices shall be issued by The Economist Media Group Ltd. on a quarterly basis, with payment due within thirty (30) calendar days of the invoice date. The vendor shall include the Purchase Order number (PO-2025-04871) on all corresponding invoices to facilitate reconciliation. Late payments shall incur interest at a rate of 1.5% per month, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom. All payments are subject to the standard terms of trade as registered with Companies House in London.

5.1 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.

5.2 The vendor warrants that all The Economist publications, digital services, and materials supplied under this Purchase Order shall be of the highest editorial and production quality, free from defects, and in full compliance with applicable United Kingdom intellectual property and data protection legislation, including the UK General Data Protection Regulation (UK GDPR).

5.3 The buyer reserves the right to audit the vendor's compliance with the terms of this Purchase Order at reasonable notice. All records related to this transaction shall be maintained for a minimum period of seven (7) years in London, United Kingdom.

5.4 Neither party shall be liable for failure to perform obligations due to force majeure events, provided that written notice is given within forty-eight (48) hours of the occurrence.

5.5 This Purchase Order may be amended only by mutual written agreement signed by authorised representatives of both parties. No oral modifications shall be valid.

This Purchase Order is issued under the authority of the Procurement Director of Thames River Corporate Media Ltd. and requires written acceptance by an authorised signatory of The Economist Media Group Ltd. to become a binding agreement.
