- This Purchase Order constitutes a binding agreement between the Midwest Economic Research Institute (Buyer) and The Economist Group, Inc. (Vendor) for the procurement of Economist publications, data services, and advisory engagements as itemized above.
- All goods and services shall be delivered to the Buyer's facility located in Chicago, Illinois, United States, unless otherwise specified in writing by the Buyer's procurement department.
- Payment shall be remitted via ACH transfer to the Vendor's designated United States bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at 1.5% per month as permitted under Illinois commercial code.
- The Vendor warrants that all Economist content, including but not limited to the Economist Intelligence Unit reports and the World in Numbers compendium, shall be current, accurate, and free from intellectual property encumbrances at the time of delivery.
- Any modifications to this Purchase Order, including changes to delivery schedules within the Chicago metropolitan area or adjustments to the scope of Economist consulting services, must be executed in writing by both parties.
- In the event of non-delivery or defective service, the Buyer reserves the right to reject the affected line items and request a full or partial refund within fifteen (15) business days of the scheduled delivery date in Chicago, United States.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois and the applicable federal laws of the United States of America. Any disputes shall be resolved through binding arbitration in Chicago, Illinois.
- The Vendor shall maintain all data and subscriber information in compliance with United States federal privacy regulations and the Illinois Personal Information Protection Act.
- This Purchase Order is valid for a period of one (1) year from the date of issue, after which all Economist subscriptions and services must be renewed through a new Purchase Order issued by the Buyer.
