- This Purchase Order constitutes a binding agreement between Miami Atlantic Economic Research Group, LLC (hereinafter "Buyer"), located in Miami, Florida, United States, and The Economist Group, Inc. (hereinafter "Seller"), for the procurement of The Economist publications, digital access licenses, and associated economic advisory services as itemized above.
- All printed materials, including The Economist weekly issues and the "The World in Data" annual report, shall be delivered to the Buyer's registered office at 1200 Brickell Avenue, Suite 2400, Miami, Florida 33131, United States. Delivery shall be completed no later than July 1, 2025, via a carrier approved by the Buyer. All shipping costs are included in the Purchase Order total.
- Digital subscriptions and Economist Intelligence Unit access licenses shall be activated within five (5) business days of receipt of this Purchase Order. Access credentials shall be delivered electronically to the designated procurement email address in Miami, United States.
- Payment shall be made in United States Dollars (USD) via wire transfer to the Seller's designated bank account within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with commercial practices in the United States.
- The Seller warrants that all copies of The Economist publications are authentic, legally produced, and free from any intellectual property encumbrances. The Seller shall indemnify the Buyer against any third-party claims arising from the materials supplied under this Purchase Order.
- Any modifications to this Purchase Order, including changes to quantities, delivery schedules, or service scope, must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be enforceable.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States, and the applicable federal laws of the United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami, Florida, United States, in accordance with the rules of the American Arbitration Association.
- The Seller shall maintain all data and access records related to this Purchase Order for a minimum period of seven (7) years, in compliance with United States federal record-keeping regulations. Upon request, the Seller shall provide the Buyer with a complete audit trail of all services rendered.
- This Purchase Order is valid for acceptance until July 12, 2025. If the Seller does not confirm acceptance in writing by this date, the Buyer reserves the right to cancel this Purchase Order without penalty and to seek equivalent services from an alternative provider.
