- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Seller. The Seller must confirm acceptance in writing within five (5) business days of receipt of this document.
- Delivery: All physical Economist publications and printed materials shall be delivered to the Buyer's registered office at Bitexco Financial Tower, District 1, Vietnam Ho Chi Minh City. The Seller assumes full responsibility for international shipping, export documentation from the United Kingdom, and import clearance into Vietnam under DDP terms.
- Payment: Payment of the full grand total of USD 50,847.50 shall be made via international wire transfer to the Seller's designated bank account within thirty (30) calendar days from the date of confirmed delivery or digital access activation, whichever is later. Late payments shall accrue interest at a rate of 1.5% per month.
- Quality & Compliance: All Economist publications must be in their original, unaltered condition. Digital licences must provide uninterrupted access for the full subscription period. Any defective items or service interruptions must be remedied within ten (10) business days at the Seller's sole expense.
- Intellectual Property: All content, data, and research materials provided under this Purchase Order remain the exclusive intellectual property of The Economist Group. The Buyer is granted a non-transferable, non-exclusive licence to use the materials solely for internal research and advisory purposes at its Vietnam Ho Chi Minh City office.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Kingdom, subject to the mandatory provisions of Vietnamese commercial law applicable to cross-border transactions. Any disputes shall be resolved through arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to international shipping routes affecting delivery to Vietnam Ho Chi Minh City.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms, pricing, and scope of this Purchase Order and shall not disclose such information to third parties without prior written consent.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute valid amendments.
- Termination: Either party may terminate this agreement with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all goods delivered and services rendered up to the termination date.
