The Editor software suite and all associated modules listed in this Purchase Order shall be delivered and installed at our primary editorial facility located at Av. Corrientes 1250, Piso 8, Buenos Aires, Argentina Buenos Aires. The supplier is required to dispatch a certified technical team to Argentina Buenos Aires no later than July 20, 2025, to perform the on-site installation, network integration, and initial configuration of the Editor platform. All hardware components, if any, must comply with Argentine electrical standards (220V, 50Hz) and carry the appropriate INMETRO and ANATEL certifications for use within Argentina Buenos Aires. The Editor system must be fully operational and connected to our internal server infrastructure by the delivery deadline of July 30, 2025.
Payment for this Purchase Order shall be made in US Dollars via international wire transfer to the supplier's designated bank account. A 30% advance payment (USD 34,365.00) is due within ten (10) business days of the acceptance of this Purchase Order. The remaining 70% balance (USD 80,185.00) shall be due within thirty (30) calendar days following the successful completion of the Editor installation, final acceptance testing, and delivery of the training program in Argentina Buenos Aires. All payments are subject to the applicable Argentine foreign exchange regulations administered by the Banco Central de la República Argentina. The supplier must provide a commercial invoice referencing this Purchase Order number (PO-BA-2025-04871) for each payment tranche.
- Acceptance: This Purchase Order becomes binding upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of receipt, otherwise this Purchase Order shall be considered void.
- Warranty: The Editor software and all modules are warranted to be free from defects in design and performance for a period of five (5) years from the date of final acceptance in Argentina Buenos Aires.
- Intellectual Property: All intellectual property rights associated with the Editor platform remain with the supplier. Editorial Solutions S.A. is granted a non-exclusive, non-transferable license to use the Editor for internal editorial operations within Argentina Buenos Aires.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, editorial content, and business information exchanged during the execution of this Purchase Order.
