Installation and configuration of the Editor suite across all 150 workstations shall be completed no later than 28 June 2025. The supplier's Australian representative shall coordinate with our internal IT team to ensure seamless integration with our existing Active Directory environment and network infrastructure. All Editor installations must comply with Australian Privacy Act 1988 requirements and the Victorian Privacy and Data Protection regulations.

1. This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
2. Payment shall be made via electronic funds transfer (EFT) to the supplier's nominated Australian bank account within thirty (30) calendar days of receipt of a valid tax invoice. The tax invoice must include the supplier's Australian Business Number (ABN) and clearly state the GST component as required by the Australian Taxation Office (ATO).
3. The Editor software licenses are non-transferable and are restricted to use within the geographic boundaries of Australia, specifically at the Melbourne premises listed herein, unless otherwise agreed in writing.
4. The supplier warrants that the Editor software shall be free from material defects in design and workmanship for a period of twelve (12) months from the date of delivery. Any defects shall be remedied at the supplier's sole cost within five (5) business days of written notification.
5. Delivery delays exceeding ten (10) business days beyond the required delivery date shall entitle the buyer to a penalty of 1.5% of the total Purchase Order value per week of delay, up to a maximum of 15% of the total value.
6. All intellectual property rights in the Editor software remain the property of Editor Technologies International Ltd. The buyer is granted a non-exclusive, non-transferable license to use the Editor software in accordance with the terms of the End User License Agreement (EULA) provided with the product.
7. This Purchase Order may not be assigned or subcontracted by either party without the prior written consent of the other party.
8. Force majeure events, including but not limited to natural disasters affecting the Melbourne metropolitan area, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 48 hours.
9. All communications regarding this Purchase Order shall be in English and directed to the contact persons specified in Sections 1 and 2 above.
