The Buyer hereby requests the procurement of a comprehensive Editor software suite, specifically designed for professional editorial workflows, content management, and multi-language document processing. The Editor platform shall be deployed and utilized exclusively within the operational premises of the Buyer located in Brazil Brasília, serving as the central editorial hub for all publishing, governmental document review, and media production activities conducted in the Federal District.

The Editor software package must include, but is not limited to, the following modules and capabilities:

All software licenses, hardware components, and associated documentation for the Editor platform shall be delivered to the Buyer's premises at Setor Comercial Sul, Quadra 04, Bloco A, Sala 1200, Brazil Brasília – DF, CEP 70304-900, no later than 30 August 2025. The Seller acknowledges that the Editor system will be installed in a secure, climate-controlled server room within the Brasília office and must comply with all applicable data sovereignty regulations of the Federal Republic of Brazil, including the General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13,709/2018).

The on-site installation and training engagement in Brazil Brasília shall be conducted by certified Editor platform specialists who are proficient in Portuguese (Brazilian) to ensure seamless onboarding of the Buyer's editorial staff. All training materials, user manuals, and technical documentation must be provided in both English and Brazilian Portuguese.

Payment for this Purchase Order shall be made in accordance with the following schedule, via international wire transfer to the Seller's designated bank account:

• 30% advance payment (USD 44,190.00) due within 10 business days of the Buyer's written acceptance of this Purchase Order.
• 50% upon delivery and successful installation of the Editor platform at the Brasília premises (USD 73,650.00), payable within 15 business days of the signed Delivery Acceptance Certificate.
• 20% final payment (USD 29,460.00) due within 30 days after the completion of the full training program and a 14-day post-deployment stability period in Brazil Brasília.

All payments are subject to applicable Brazilian withholding taxes as mandated by the Receita Federal. The Buyer shall issue the corresponding DARF (Declaração de Débitos e Créditos Tributários Federais) for any tax obligations arising from this cross-border transaction.

The Seller warrants that the Editor software suite shall be free from material defects in design, code, and functionality for a period of twenty-four (24) months from the date of final acceptance in Brazil Brasília. The Seller guarantees a minimum uptime of 99.5% for the on-premise Editor server infrastructure and commits to a maximum response time of four (4) hours for critical defects and twenty-four (24) hours for non-critical issues, with support available in Portuguese (Brazilian) during Brasília business hours (08:00–18:00 BRT, Monday through Friday).

This Purchase Order and all transactions arising hereunder shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with particular reference to the Commercial Code (Código Comercial) and the Consumer Protection provisions applicable to enterprise procurement. Any disputes arising from the interpretation or execution of this Purchase Order relating to the Editor platform deployment in Brazil Brasília shall be submitted to the competent courts of the Federal District (Distrito Federal), Brasília, Brazil, or, at the Buyer's election, to arbitration administered by the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá) seated in Brasília, DF.

By signing below, the authorized representatives of both parties confirm their agreement to all terms, conditions, specifications, and pricing outlined in this Purchase Order for the procurement and deployment of the Editor software suite in Brazil Brasília. This document constitutes a binding commercial agreement upon execution by both parties.
