All hardware components and software media referenced in this Purchase Order shall be delivered to the buyer's facility located at Av. Rio Branco, 1200, Centro, Rio de Janeiro, RJ, Brazil. The seller is responsible for all international shipping, customs clearance in Brazil, and final-mile delivery to the Rio de Janeiro address. The Editor software suite must be fully installed, configured, and operational no later than July 15, 2025. The on-site training program shall be scheduled within the first two weeks following installation completion, at a date mutually agreed upon by both parties. All documentation, user manuals, and licensing certificates must be provided in both English and Portuguese (Brazilian) to ensure full accessibility for the Rio de Janeiro editorial team.
- Payment: Payment shall be made in Brazilian Reais (BRL) via bank transfer to the seller's designated account within thirty (30) calendar days of the invoice date. Late payments shall incur a monthly interest rate of 1.5% in accordance with Brazilian commercial law.
- Warranty: The Editor software suite carries a standard 12-month warranty from the date of installation. Hardware workstations carry a 24-month manufacturer warranty. All warranty claims must be submitted in writing to the seller's support department.
- Intellectual Property: All Editor software, plugins, and associated intellectual property remain the exclusive property of Global Editorial Technologies Inc. The buyer is granted a non-transferable license for use within the Rio de Janeiro, Brazil facility only.
- Compliance: The seller warrants that all products and services under this Purchase Order comply with applicable Brazilian regulations, including the General Data Protection Law (LGPD – Lei Geral de Proteção de Dados) and the Consumer Protection Code (Código de Defesa do Consumidor).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting shipments to Brazil.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes shall be resolved through arbitration in Rio de Janeiro, RJ, under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall be entitled to a pro-rata refund for any unused services or uninstalled hardware.
