This Purchase Order authorizes the procurement and deployment of the Editor software platform for Meridian Digital Solutions Ltda.'s primary post-production facility located in Brazil São Paulo. The Editor system will serve as the central creative tool for all video, audio, and multimedia content production undertaken by our São Paulo-based editorial team of 30 professionals. All Editor installations must be configured to comply with Brazilian data residency regulations (LGPD – Lei Geral de Proteção de Dados) and must support the Portuguese (Brazil) language interface as the default operational language. The Editor software must integrate seamlessly with our existing asset management system and broadcast delivery pipeline serving clients throughout the São Paulo metropolitan region and the broader Brazilian market.

1. This Purchase Order is binding upon written acceptance by the Supplier. The Supplier must confirm acceptance in writing within five (5) business days of receipt of this document.
2. All Editor software licenses are subject to the CreativePro Software International Inc. End User License Agreement (EULA), which shall be provided in both English and Portuguese (Brazil) at the time of delivery.
3. Delivery of all physical media, license keys, and documentation must be completed at the designated address in Brazil São Paulo no later than the Required Delivery Date stated above. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per business day of delay.
4. Payment shall be made via bank transfer (TED/PIX) to the Supplier's designated account in Brazilian Reais (BRL). The exchange rate shall be the Central Bank of Brazil (BCB) commercial rate on the date of invoice issuance.
5. The Supplier warrants that all Editor software products are free from defects, fully licensed, and not subject to any intellectual property claims. The Supplier shall indemnify the Buyer against any third-party claims arising from the Editor products.
6. Warranty period for the Editor software is twelve (12) months from the date of successful installation and acceptance testing in Brazil São Paulo. The 24/7 Priority Technical Support contract (Item 6) extends beyond the standard warranty period.
7. All training sessions (Item 5) must be conducted in Portuguese (Brazil) by certified Editor trainers with a minimum of five years of professional experience. Training materials must be provided in digital and printed format in Portuguese.
8. This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from this Purchase Order shall be resolved by arbitration in the city of São Paulo, Brazil, in accordance with the rules of the CAMARB (Câmara de Arbitragem do Mercado).
9. The Supplier acknowledges that the Editor software will be deployed in a regulated environment in Brazil São Paulo and must comply with all applicable ANATEL, ANPD, and municipal regulations regarding software distribution and data processing.
10. Neither party may assign this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Editor software solutions described herein.
