This Purchase Order is issued by Andes Digital Media S.A., headquartered in Chile Santiago, to procure a comprehensive Editor software platform and associated professional services. The Editor system shall be deployed across all editorial departments operating within the Chile Santiago metropolitan office and its satellite facilities in the surrounding Metropolitan Region. This Purchase Order governs the acquisition, licensing, installation, training, and ongoing technical support for the Editor solution as detailed in the line items below.

All physical components associated with this Purchase Order shall be delivered to the buyer's premises in Chile Santiago no later than August 1, 2025. The Editor software licenses shall be activated electronically within five (5) business days of the final payment confirmation. On-site installation and configuration of the Editor platform at the Chile Santiago office shall be completed within ten (10) business days of license activation. The supplier acknowledges that all delivery and installation activities are subject to the import regulations of the Republic of Chile and the customs procedures managed by the Chilean Customs Service (Servicio Nacional de Aduanas) in Chile Santiago.

• 40% advance payment upon execution of this Purchase Order, due within fifteen (15) business days of the issue date.
• 40% payment upon successful installation and configuration of the Editor platform at the Chile Santiago facility, confirmed by a signed acceptance certificate.
• 20% final payment upon completion of the Editor training program and delivery of all localized Editor documentation.
• All payments shall be made in US Dollars via international wire transfer to the supplier's designated bank account. The buyer shall bear any applicable Chilean export tax withholdings as mandated by the Servicio de Impuestos Nacionales in Chile Santiago.

The supplier warrants that the Editor platform delivered under this Purchase Order shall be free from material defects in software code, configuration, and performance for a period of twelve (12) months from the date of final acceptance in Chile Santiago. During the five-year support term, the supplier guarantees a maximum response time of four (4) hours for critical Editor system failures and twenty-four (24) hours for non-critical Editor issues. All Editor updates, security patches, and feature enhancements released during the contract term shall be provided at no additional cost to the buyer.

• This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile, with the primary jurisdiction being the courts of Chile Santiago, Metropolitan Region.
• The supplier shall comply with all applicable Chilean labor, data protection, and intellectual property laws when deploying the Editor system in Chile Santiago.
• Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Editor scope, pricing, or delivery in Chile Santiago shall be null and void.
• The supplier shall maintain full confidentiality of all proprietary content, editorial workflows, and business data processed through the Editor platform at the Chile Santiago facility.
• In the event of force majeure, including but not limited to natural disasters affecting the Chile Santiago region, either party may suspend obligations under this Purchase Order for a period not exceeding sixty (60) days without penalty.
• The buyer reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Editor platform fails to meet the performance specifications outlined in the attached technical annex.
