The Editor software package and all associated services shall be delivered and made operational at the Buyer's facility in China Beijing no later than August 15, 2025. The Seller is responsible for all logistics, customs clearance, and regulatory compliance required to import and deploy the Editor software within the People's Republic of China. All software media, license keys, and documentation must be delivered to the address specified in Section 1. The on-site installation and training in Beijing shall be scheduled between August 18 and August 22, 2025, subject to mutual agreement on exact dates no later than July 25, 2025.
- Acceptance: This Purchase Order constitutes a binding offer to purchase the Editor software and services as described herein. Acceptance by the Seller shall be confirmed in writing within five (5) business days of receipt of this document.
- Payment: Payment of the full grand total of USD 162,437.50 shall be made via wire transfer to the Seller's designated bank account within thirty (30) calendar days of the date of successful installation and acceptance of the Editor system in Beijing. A 10% deposit (USD 16,243.75) is due upon execution of this Purchase Order.
- Warranty: The Seller warrants that the Editor software shall be free from material defects in design and performance for a period of twelve (12) months from the date of deployment in China Beijing. Any defects shall be remedied at no additional cost to the Buyer.
- Compliance: The Seller guarantees that the Editor software complies with all applicable laws and regulations of the People's Republic of China, including but not limited to the Cybersecurity Law of the PRC, the Data Security Law, and the Personal Information Protection Law. All data processed by the Editor within Beijing shall be stored on servers located within mainland China.
- Intellectual Property: All intellectual property rights in the Editor software remain the exclusive property of the Seller. The Buyer is granted a non-transferable, non-exclusive license to use the Editor for internal business operations at its Beijing facility only.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged during the deployment of the Editor in China Beijing.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or changes in import/export regulations affecting the delivery of the Editor to Beijing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice if the other party materially breaches any term and fails to cure such breach within the notice period.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement and deployment of the Editor software in China Beijing.
