This Purchase Order is issued by Guangzhou Media Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Creative Software International Inc. (hereinafter referred to as the "Seller") for the acquisition, licensing, and deployment of a professional-grade Editor software suite. The Editor in question is the "ApexPro Editor Suite v12.4 Enterprise Edition," a comprehensive content creation and editing platform designed for video production, graphic design, and multimedia management. The primary operational base for this Editor shall be the Buyer's production facility located in China Guangzhou, specifically within the Tianhe District creative technology hub.

The Seller shall deliver all software licenses, installation media, and associated documentation for the Editor to the Buyer's designated facility in China Guangzhou no later than August 1, 2025. All physical materials, if any, shall be shipped via international courier with full customs clearance documentation prepared in accordance with the regulations of the People's Republic of China. The Seller is responsible for ensuring that the Editor software complies with all applicable Chinese data sovereignty laws, cybersecurity regulations, and software import requirements specific to the China Guangzhou jurisdiction. The on-site installation team shall be present in China Guangzhou for a minimum of ten (10) business days to complete the full deployment, network integration, and user acceptance testing of the Editor platform.

• 30% Advance Payment ($69,071.25) – Due within 10 business days of acceptance of this Purchase Order by both parties.
• 50% Milestone Payment ($115,118.75) – Due upon successful installation and initial configuration of the Editor at the China Guangzhou site, confirmed by a signed Installation Completion Certificate.
• 20% Final Payment ($46,025.00) – Due within 30 days after the completion of the training program and the Buyer's written acceptance of the fully operational Editor system in China Guangzhou.

All payments shall be made via international wire transfer to the Seller's designated bank account. The Buyer reserves the right to withhold any portion of payment if the Editor fails to meet the performance specifications outlined in this Purchase Order.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives. All terms herein govern the procurement, delivery, and deployment of the Editor software in China Guangzhou.
2. The Seller warrants that the Editor software is free from defects, viruses, and intellectual property encumbrances. The Seller shall indemnify the Buyer against any third-party claims arising from the use of the Editor in China Guangzhou.
3. All data processed by the Editor within the China Guangzhou facility shall be stored on local servers in compliance with the Cybersecurity Law of the People's Republic of China and the Data Security Law. No data shall be transmitted outside of mainland China without explicit written consent from the Buyer.
4. The Seller shall provide a minimum of three (3) years of software updates, security patches, and bug fixes for the Editor at no additional cost beyond the maintenance contract specified in Item #06 of this Purchase Order.
5. In the event of a breach of this Purchase Order by either party, the non-breaching party shall have the right to terminate the agreement with 30 days' written notice. Disputes shall be resolved through arbitration in China Guangzhou under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
6. The Editor license is non-transferable and restricted to use exclusively at the Buyer's registered premises in China Guangzhou, unless otherwise agreed in writing.
7. Force majeure events, including but not limited to natural disasters, government sanctions, or international trade restrictions affecting the China Guangzhou region, shall excuse timely performance under this Purchase Order for the duration of such events.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement and deployment of the Editor software suite in China Guangzhou. This document is executed in two (2) original copies, one for each party.
