The Seller’s technical team shall be present on-site in France Lyon for a minimum of two consecutive business days to complete the Editor installation, network integration, and initial configuration. The training programme (Item 04) shall be scheduled within the first two weeks following successful Editor deployment and shall be conducted entirely within the France Lyon premises to minimise disruption to the Buyer’s ongoing editorial operations.

Payment for this Purchase Order shall be made in accordance with the following schedule, all amounts in Euros (EUR) and payable via bank transfer to the Seller’s designated account:

1. 30% advance payment (EUR 27,864.00 incl. VAT) due within 10 business days of the Buyer’s written acceptance of this Purchase Order.
2. 50% milestone payment (EUR 46,440.00 incl. VAT) due upon confirmed on-site installation and successful Editor deployment at the France Lyon facility.
3. 20% final payment (EUR 18,576.00 incl. VAT) due within 15 business days following completion of the Editor training programme and issuance of the Seller’s final acceptance certificate.

All invoices shall reference this Purchase Order number (PO-FR-LY-2025-04872) and shall be issued in compliance with French invoicing regulations under Articles 286 and following of the French General Tax Code (Code général des impôts).

1. Governing Law: This Purchase Order and all transactions arising from it shall be governed by and construed in accordance with the laws of the French Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Commercial Court of Lyon (Tribunal de Commerce de Lyon), France Lyon, unless otherwise mandated by applicable EU or French consumer protection legislation.
2. Intellectual Property: The Editor software, all associated plugins, templates, and documentation remain the exclusive intellectual property of ProEditor Solutions Ltd. The Buyer is granted a non-transferable, non-exclusive license to use the Editor solely within the France Lyon operational premises and for the internal editorial purposes of Lyon Digital Media Group SAS.
3. Warranty: The Seller warrants that the Editor shall be free from material defects in design, manufacture, and performance for a period of twenty-four (24) months from the date of installation in France Lyon. The Seller shall repair or replace any defective Editor component at no additional cost to the Buyer.
4. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order, including but not limited to the Buyer’s editorial content, production schedules, and internal workflows conducted in France Lyon.
5. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, civil unrest in the France Lyon region, or government-imposed restrictions.
6. Compliance: The Editor and all associated services shall comply with applicable French and European data protection regulations, including the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés, as amended).
7. Termination: Either party may terminate this Purchase Order with thirty (30) days’ written notice in the event of a material breach by the other party that remains uncured after a further fifteen (15) days’ written notice.
