All physical and digital deliverables associated with this Purchase Order shall be delivered to the Buyer's premises located at 42 Boulevard de la Corderie, 13007 Marseille, France. The Editor software licenses, installation media, and all accompanying documentation must be made available no later than 30 June 2025. The on-site installation and training session (Item 04) is scheduled for 2–3 July 2025 at the France Marseille office. The Seller is responsible for all logistics, customs clearance (if applicable for cross-border EU delivery), and insurance of goods in transit to France Marseille. Any delays in delivery to the France Marseille site exceeding five (5) business days beyond the agreed date will incur a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value.
5. TERMS AND CONDITIONS- 5.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille, France.
- 5.2 The Editor software and all associated modules are licensed, not sold. The Buyer receives a non-transferable, non-exclusive license to use the Editor within the France Marseille office and any satellite locations within the Provence-Alpes-Côte d'Azur region.
- 5.3 Payment terms: 30% advance payment upon acceptance of this Purchase Order, 50% upon successful installation and acceptance of the Editor at the France Marseille site, and 20% upon completion of the 90-day support period. All payments shall be made via bank transfer to the Seller's designated EUR account.
- 5.4 The Seller warrants that the Editor software is free from material defects, viruses, and intellectual property infringements. The warranty period is twelve (12) months from the date of final acceptance in France Marseille.
- 5.5 The Buyer reserves the right to inspect and test the Editor software upon delivery. Acceptance shall be deemed granted if no written notice of non-conformity is issued within ten (10) business days of delivery to France Marseille.
- 5.6 All personal data processed through the Editor platform in France Marseille shall comply with the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés). The Seller shall execute a Data Processing Agreement (DPA) prior to deployment.
- 5.7 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in France Marseille or the Seller's country of origin.
- 5.8 This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Editor software and supersedes all prior negotiations, representations, and agreements.
