1. This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the execution of this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of France Paris.
2. The Editor software is licensed, not sold. All intellectual property rights remain with CodeForge Solutions GmbH. The buyer is granted a non-exclusive, non-transferable right to use the Editor within the France Paris premises for internal business operations.
3. The supplier warrants that the Editor shall be free from material defects and shall perform in accordance with the published technical specifications for a period of 24 months from the date of installation.
4. The supplier shall provide dedicated technical support for the Editor during French business hours (09:00–18:00 CET) for the duration of the maintenance subscription.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any proprietary data processed through the Editor within the France Paris facilities.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or cross-border regulatory changes affecting the France Paris region.
