The Supplier shall deliver and install the Editor platform at the Buyer’s primary editorial facility located at Mainzer Landstrasse 142, 60329 Germany Frankfurt, within thirty (30) calendar days of the acceptance of this Purchase Order. All hardware components, if applicable, shall be shipped to the Germany Frankfurt address and shall comply with EU customs and import regulations. The Editor software deployment in Germany Frankfurt must be completed and fully operational no later than 15 July 2025.
The Supplier acknowledges that the Editor system will be integrated into the existing intranet infrastructure of the Germany Frankfurt office and must be compatible with the Buyer’s current Microsoft Active Directory and single-sign-on architecture. Any integration work required to ensure the Editor functions seamlessly within the Germany Frankfurt network environment shall be performed at no additional cost to the Buyer as stipulated in this Purchase Order.
Payment for this Purchase Order shall be made in accordance with the following schedule:
- 30% advance payment (EUR 111,687.45) due within ten (10) business days of the Buyer’s written acceptance of this Purchase Order.
- 50% milestone payment (EUR 186,145.75) due upon successful installation and initial configuration of the Editor at the Germany Frankfurt site, confirmed by a signed acceptance certificate.
- 20% final payment (EUR 74,458.30) due upon completion of the Editor training program and a thirty-day post-deployment warranty period in Germany Frankfurt.
All payments shall be transferred via SEPA bank transfer to the Supplier’s designated account. The Buyer’s payment obligations under this Purchase Order are contingent upon the Supplier’s full compliance with all delivery, quality, and regulatory requirements specified herein for the Editor deployment in Germany Frankfurt.
The Supplier warrants that the Editor platform delivered under this Purchase Order shall be free from material defects in design, workmanship, and performance for a period of twenty-four (24) months from the date of final acceptance in Germany Frankfurt. The Editor shall comply with all applicable German and European Union software licensing laws, accessibility standards (BITV 2.0), and data residency requirements specific to Germany Frankfurt.
Any dispute arising from or in connection with this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive jurisdiction for any legal proceedings shall be the competent court in Germany Frankfurt. The Supplier further agrees that all Editor support communications, documentation, and user interfaces shall be available in German to meet the operational needs of the Germany Frankfurt editorial staff.
This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Editor for use in Germany Frankfurt and supersedes all prior negotiations, representations, or agreements. No amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
