- Acceptance: This Purchase Order constitutes a binding offer. The Seller shall confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall render this Purchase Order null and void.
- Delivery & Deployment: All Editor software licenses, installation media, and associated documentation shall be delivered to the Buyer's premises in India Bangalore within thirty (30) calendar days from the date of Purchase Order acceptance. On-site deployment services shall be completed within forty-five (45) days.
- Payment Terms: Payment shall be made in three installments: 40% upon Purchase Order acceptance, 40% upon successful delivery and installation of the Editor software at the India Bangalore site, and 20% upon completion of the 30-day stabilization period. All payments shall be processed via NEFT/RTGS to the Seller's designated bank account. Invoices must include valid GST documentation as per Indian tax regulations.
- Licensing & Usage: The Editor software licenses are restricted to use by authorized personnel of TechnoVerse Solutions Pvt. Ltd. operating from the India Bangalore office and approved remote locations within India. Redistribution, sublicensing, or use outside the agreed scope is strictly prohibited.
- Warranty: The Seller warrants that the Editor software shall be free from material defects for a period of twelve (12) months from the date of deployment. Any defects discovered during this period shall be rectified at no additional cost to the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order. The Editor software's source code, algorithms, and internal architecture shall remain the exclusive intellectual property of the Seller.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government regulations affecting software imports into India, or pandemics.
- Compliance: The Seller confirms that the Editor software complies with all applicable Indian data protection regulations, including the Digital Personal Data Protection Act, 2023, and that no data processed through the Editor platform within India Bangalore shall be transferred to servers outside India without explicit written consent from the Buyer.
