1. This Purchase Order constitutes a binding agreement between Mumbai Digital Media Solutions Pvt. Ltd. (Buyer) and CreativeSoft Technologies International Inc. (Seller) for the procurement of the Editor software suite and associated services as described herein.
2. The Seller warrants that the Editor software shall be free from defects, fully functional, and in complete compliance with all applicable Indian software licensing laws and data protection regulations, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023.
3. Payment shall be made via bank transfer to the Seller's designated account within thirty (30) days of receipt of a valid tax invoice. The Buyer shall deduct applicable TDS (Tax Deducted at Source) as per the Income Tax Act, 1961, applicable in India Mumbai jurisdiction.
4. The Editor software license is restricted to use exclusively within the geographical boundaries of India Mumbai and its designated operational facilities. Any unauthorized redistribution, reverse engineering, or use outside the licensed territory shall constitute a material breach of this Purchase Order.
5. The Seller shall provide a minimum of twelve (12) months of warranty on all Editor hardware components and a full software defect liability period of ninety (90) days from the date of installation in Mumbai.
6. In the event of any dispute arising from this Purchase Order, both parties agree to resolve the matter through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The governing law shall be the laws of India.
7. The Seller shall maintain a dedicated technical support channel for the Editor software, ensuring response times of no more than four (4) business hours for critical issues affecting the Mumbai production schedule.
8. All intellectual property rights associated with the Editor software, its algorithms, and proprietary modules shall remain the exclusive property of the Seller. The Buyer is granted a non-transferable, non-exclusive license to use the Editor software solely for internal business operations in India Mumbai.
9. This Purchase Order may be amended only by mutual written consent of both parties. No verbal or email-based modifications shall be considered valid unless confirmed in a formal amendment document signed by both authorized signatories.
10. The Seller shall comply with all export control regulations of the United States and all import regulations of India, including the Foreign Trade Policy and the applicable customs duties for software and hardware imports into Mumbai.
