The Editor system is selected to modernize the publishing pipeline of the buyer's Tehran-based offices and to ensure compliance with the national digital publishing standards mandated by the Iranian Ministry of Culture and Islamic Guidance.

All software licenses and digital deliverables associated with this Purchase Order shall be delivered electronically to the buyer's designated IT department at the Tehran Digital Publishing House headquarters, located in District 1, Tehran, Iran, no later than 28 June 2025. The on-site installation, configuration, and training services (Items 05 and 06) shall be conducted at the buyer's Tehran, Iran premises between 1 July 2025 and 3 July 2025. The seller is responsible for arranging travel, accommodation, and all logistics for the Editor deployment team visiting Iran Tehran. The buyer shall provide a dedicated server room, network access, and a conference facility for the training sessions.

The seller warrants that the Editor software suite delivered under this Purchase Order shall be free from material defects in design, code, and functionality for a period of twelve (12) months from the date of successful deployment in Tehran, Iran. The seller guarantees that the Editor system shall operate in full compliance with the buyer's existing infrastructure, including the buyer's internal content management platform and Adobe Creative Cloud environment. Acceptance of the Editor system shall be confirmed in writing by the buyer's Chief Technology Officer within fifteen (15) business days of the completion of the on-site installation in Iran Tehran. Failure to issue a written objection within this period shall constitute deemed acceptance.

All intellectual property rights, including but not limited to source code, algorithms, and proprietary methodologies embedded within the Editor software, remain the exclusive property of GlobalEditor Solutions International GmbH. The buyer is granted a non-transferable, non-exclusive license to use the Editor suite solely within its operational facilities in Tehran, Iran, for internal publishing and editorial purposes. No reverse engineering, decompilation, or redistribution of the Editor software is permitted under any circumstances without prior written consent from the seller.

This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with this Purchase Order, including those relating to the Editor software delivery, performance, or warranty obligations in Iran Tehran, shall first be subject to good-faith negotiation between the parties. Should negotiation fail within sixty (60) days, the dispute shall be referred to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The language of arbitration shall be English.

This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements. No amendment or modification of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. In the event of force majeure, including but not limited to natural disasters, government sanctions, or embargoes affecting trade between the parties' jurisdictions, the affected party shall be relieved of its obligations for the duration of the event, provided that written notice is given within seven (7) days of the occurrence. The buyer acknowledges that the Editor software is intended for professional editorial use in the publishing industry in Iran Tehran and that the seller has no obligation to provide localized support in Persian/Farsi beyond the scope of the Multilingual Module specified in Item 02.
