All hardware items (Items 4, 5, and 6) shall be delivered to the Buyer’s premises at 14th Ramadan Street, Al-Mansour District, Baghdad, Iraq, no later than 30 August 2025. • 40% Advance Payment: $55,185.00 due within 10 business days of Purchase Order acceptance, payable via irrevocable Letter of Credit (LC) issued by a bank in Baghdad, Iraq, in favor of GlobalEdit Solutions Inc.
• 50% on Shipment: $68,981.25 due upon presentation of Bill of Lading / Air Waybill confirming dispatch of Editor hardware to Baghdad, Iraq.
• 10% on Acceptance: $13,796.25 due within 15 business days after successful on-site installation and completion of the Editor training session in Baghdad.
• All payments shall be made in United States Dollars (USD) via wire transfer to the Seller’s designated bank account. The Buyer’s bank in Baghdad shall handle any applicable foreign exchange conversion at the Central Bank of Iraq (CBI) prevailing rate.

• Warranty: All Editor software is warranted to be free from material defects for a period of two (2) years from the date of delivery in Baghdad. All Editor hardware (workstations, monitors, peripherals) carries a three (3) year manufacturer’s warranty covering parts and labor. Warranty service for hardware in Iraq Baghdad shall be provided through the Seller’s authorized regional service partner in the Middle East.
• Intellectual Property: All Editor software licenses granted under this Purchase Order are non-transferable and restricted to use at the Buyer’s facility in Baghdad, Iraq. The Buyer shall not reverse-engineer, decompile, or redistribute any Editor software components.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to political instability, sanctions changes affecting Iraq, natural disasters, or government-imposed restrictions on the import of technology into Baghdad, Iraq.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration in Geneva, Switzerland, under the rules of the ICC.
• Compliance: The Seller warrants that the Editor products and their export to Iraq Baghdad do not violate any applicable export control laws, including U.S. Export Administration Regulations (EAR) and any relevant Iraqi import statutes. The Buyer warrants that the Editor products will not be used for any purpose prohibited under Iraqi law or international sanctions regimes.
• Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and technical specifications contained in this Purchase Order. This obligation shall survive for a period of five (5) years from the date of full performance.
• Acceptance Criteria: The Editor software and hardware shall be deemed accepted upon completion of a 10-business-day inspection period following delivery to Baghdad, Iraq, during which the Buyer shall verify that all Editor components function in accordance with the specifications outlined in this Purchase Order.
