All software licenses, media, and associated documentation for the Editor shall be delivered to the purchaser's premises in Jerusalem, Israel no later than 10 July 2025. The supplier shall arrange for a certified technical team to travel to Israel Jerusalem to perform the on-site installation of the Editor across all 50 designated workstations. Installation must be completed within five (5) business days of arrival in Jerusalem. All Editor hardware components, if any, must comply with Israeli telecommunications and data protection regulations as enforced by the Israeli Privacy Protection Authority.
Payment for this Purchase Order shall be made in Israeli New Shekels (ILS) via bank transfer to the supplier's designated international account. The payment schedule is as follows:
- 40% Advance Payment (ILS 147,641.60) – Due within seven (7) business days of acceptance of this Purchase Order.
- 40% Upon Delivery (ILS 147,641.60) – Due within fourteen (14) business days of confirmed delivery and installation of the Editor in Jerusalem, Israel.
- 20% Final Payment (ILS 73,820.80) – Due within thirty (30) days following successful completion of staff training and a 14-day operational warranty period for the Editor.
5.1 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from the procurement, delivery, or use of the Editor shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
5.2 The Editor software must remain fully functional and receive all security patches and updates for the duration of the support period. The supplier warrants that the Editor shall be free from material defects for a period of twelve (12) months from the date of installation in Jerusalem.
5.3 The purchaser reserves the right to inspect the Editor installation at the Jerusalem, Israel facility and to request remediation of any non-conformities within ten (10) business days of written notice.
5.4 All data processed by the Editor within Israel Jerusalem shall be stored in compliance with Israeli data residency requirements. No editorial content shall be transferred to servers outside of Israel without explicit written consent from the purchaser.
5.5 The supplier acknowledges that the Editor will be used in a professional publishing environment in Jerusalem, Israel, and agrees to provide all necessary Hebrew-language user documentation, interface localization, and customer support in both Hebrew and English.
5.6 Late delivery of the Editor beyond the stipulated date shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Editor to be deployed in Israel Jerusalem. This document constitutes a binding agreement upon execution by both authorized representatives.
