All prices are quoted in Israeli New Shekels (ILS). VAT is calculated at the standard Israeli rate of 18% as mandated by the Israel Tax Authority. Import duties, if applicable, shall be borne by the Buyer in accordance with Israeli customs regulations.
The Seller shall deliver all Editor software licenses, installation media, and associated documentation to the Buyer's premises in Israel Tel Aviv no later than the Required Delivery Date specified in Section 1. Physical delivery of any hardware components (if applicable) shall be made via a certified courier service to the address: 42 Dizengoff Street, Tel Aviv-Yafo, 6500000, Israel. The Seller's technical team shall be present on-site in Tel Aviv for a minimum of five (5) business days to complete the Editor installation, server configuration, network integration, and Hebrew language localization. All deployment activities must be conducted in compliance with Israeli labor laws and the Buyer's internal security protocols.
- Acceptance: This Purchase Order constitutes a binding offer. The Seller's written acceptance of this Purchase Order, signed and returned to the Buyer within five (5) business days, shall form a legally enforceable contract between the parties.
- Editor Warranty: The Seller warrants that the Editor software shall be free from material defects in design, code, and performance for a period of twenty-four (24) months from the date of successful deployment in Tel Aviv. Any Editor defects discovered during the warranty period shall be remedied at no additional cost to the Buyer.
- Intellectual Property: All intellectual property rights in the Editor software, including source code, algorithms, and proprietary methodologies, remain the exclusive property of the Seller. The Buyer is granted a non-exclusive, non-transferable license to use the Editor within its Tel Aviv office and any affiliated Israeli entities.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order, including but not limited to Editor source code, the Buyer's editorial content, and internal business processes.
- Compliance with Israeli Law: The Editor software and all associated services shall comply with all applicable Israeli laws, including the Privacy Protection Law, 5741-1981, the Copyright Law, 5765-2005, and the regulations of the Israel Tax Authority. The Seller shall provide all necessary documentation to demonstrate compliance.
- Payment: Payment of the full Purchase Order amount shall be made via bank transfer to the Seller's designated account within thirty (30) days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed by Israeli law.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or international trade restrictions affecting the State of Israel.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration in Tel Aviv, Israel, in accordance with the rules of the Tel Aviv Arbitration Center. The language of arbitration shall be English.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach by the other party that remains uncured after such notice period.
By signing below, the authorized representatives of both parties confirm that this Purchase Order for the Editor software suite has been reviewed, approved, and accepted in full. This document, together with all attached schedules and specifications, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the Editor procurement in Israel Tel Aviv.
