The Supplier acknowledges that the Editor shall be configured to operate within the Italian regulatory framework, including GDPR compliance for all editorial data processed in Italy Milan. Delivery shall be made in accordance with Incoterms 2020 (DAP – Delivered at Place, Italy Milan). The Buyer shall provide reasonable access to the Italy Milan facility during business hours (Monday to Friday, 08:00–18:00 CET) for the installation team.

Payment for this Purchase Order shall be made via bank transfer to the Supplier's designated account in accordance with the following schedule: (a) 30% advance payment (EUR 62,695.80) due within 10 business days of the acceptance of this Purchase Order; (b) 50% (EUR 104,493.00) due upon successful installation and verification of the Editor system at the Italy Milan site; and (c) the remaining 20% (EUR 41,797.20) due within 30 days following the completion of the Editor training program in Italy Milan. All payments shall be made in Euros (EUR) to the Supplier's IBAN account. Late payments shall incur interest at the rate of 1.5% per month, in accordance with Italian commercial law applicable in Italy Milan. The Buyer reserves the right to withhold final payment until all Editor deliverables have been satisfactorily completed and documented.

The Supplier warrants that the Editor software shall be free from material defects in design, code, and functionality for a period of twenty-four (24) months from the date of installation in Italy Milan. The Supplier guarantees a minimum uptime of 99.5% for the Editor Cloud Integration Module during the contract period. In the event of a critical Editor failure affecting operations in Italy Milan, the Supplier shall respond within four (4) hours and provide a resolution or workaround within twenty-four (24) hours. All warranty claims related to the Editor shall be submitted in writing to the Buyer's procurement department in Italy Milan. The Supplier shall provide replacement or repair of any defective Editor component at no additional cost to the Buyer during the warranty period.

The Editor software license granted under this Purchase Order is non-transferable and restricted to use solely by the Buyer's authorized personnel operating from the Italy Milan location. The Buyer shall not reverse-engineer, decompile, or distribute the Editor platform to any third party without prior written consent from the Supplier. All intellectual property rights in the Editor software, its plugins, and associated documentation remain the exclusive property of the Supplier.
