Terms and Conditions of this Purchase Order

1. Delivery and Installation: All physical and digital deliverables associated with the Editor software suite shall be delivered to the buyer's premises at Via Toledo, 182, 80132 Naples, Italy, no later than 30 July 2025. On-site installation and configuration in Naples must be completed within five (5) business days of delivery.
2. Payment Terms: Payment shall be made via bank transfer to the seller's designated account within thirty (30) days of the invoice date. The buyer, Studio Editoriale Partenope S.r.l. of Naples, Italy, shall issue payment in Euros (EUR) from its account held at Banco di Napoli S.p.A., IBAN: IT60 X054 2811 1010 0000 0123 456. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.
3. Warranty: The seller warrants that the Editor software shall be free from material defects in design and performance for a period of twenty-four (24) months from the date of installation in Naples. Any defects shall be remedied at the seller's sole cost, including travel to the Naples site if required.
4. Intellectual Property: All intellectual property rights in the Editor software, its documentation, and associated plugins remain the exclusive property of Meridian Software Solutions Ltd. The buyer is granted a non-exclusive, non-transferable licence to use the Editor product solely within its Naples, Italy operations.
5. Compliance: The Editor software and all associated services must comply with the EU General Data Protection Regulation (GDPR), Italian data protection law (D.Lgs. 196/2003 as amended), and all applicable Italian commercial and consumer protection statutes. The seller confirms that all cloud services will be hosted within the European Union.
6. Training: The two-day Editor training programme in Naples shall be conducted in Italian, with supplementary English-language materials provided. The seller shall assign a certified Editor trainer with a minimum of five years' experience in editorial software deployment.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the buyer for cause (e.g., failure to deliver the Editor software by the agreed date), the seller shall refund all amounts paid within fifteen (15) business days.
8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of Italy. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Naples, Italy.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Naples or the broader Campania region.
