- Acceptance: This Purchase Order constitutes a binding offer to purchase the Editor software, hardware, and services as described herein. The Supplier shall confirm acceptance in writing within five (5) business days of receipt. Failure to confirm shall be deemed acceptance under Italian commercial law (Codice Civile, Art. 1321 et seq.).
- Delivery: All goods and services shall be delivered to the Purchasing Entity's premises at Via del Corso 142, 00186 Roma, Italy. Delivery shall be made DDP (Delivered Duty Paid) per Incoterms 2020. The Supplier bears all risk of loss until the Editor hardware and software are physically received and signed for by the Purchasing Entity's authorized representative in Rome.
- Payment: Payment shall be made via SEPA bank transfer to the Supplier's designated account within forty-five (45) calendar days of the date of a valid invoice. The invoice must reference this Purchase Order number (IT-RM-2025-04872) and include the Supplier's VAT number. Late payments shall accrue interest at the European Central Bank reference rate plus eight (8) percentage points, in accordance with EU Directive 2011/7/EU on combating late payment in commercial transactions.
- Warranty: The Editor software suite is warranted to be free from material defects for a period of twenty-four (24) months from the date of installation in Rome, Italy. Hardware warranties are as specified in Line Items 7 and 8. The Supplier shall replace or repair any defective Editor component at no additional cost to the Purchasing Entity.
- Intellectual Property: All intellectual property rights in the Editor software, including source code, documentation, and proprietary algorithms, remain the exclusive property of the Supplier. The Purchasing Entity is granted a non-exclusive, non-transferable license to use the Editor software solely for internal editorial operations at its Rome, Italy premises.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the Editor software configuration, and any proprietary editorial data processed through the system in Rome. This obligation survives termination for a period of five (5) years.
- Compliance: The Editor software and all associated services shall comply with applicable Italian data protection regulations (D.Lgs. 196/2003 as amended), the EU General Data Protection Regulation (GDPR – Regulation (EU) 2016/679), and all relevant Italian labor and workplace safety laws applicable to the Rome office.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Rome, Italy, unless otherwise agreed in writing. The parties may, at their mutual discretion, submit the dispute to mediation under the rules of the Camera di Commercio di Roma prior to initiating litigation.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, or government-imposed restrictions affecting operations in Italy or the European Union.
- Entire Agreement: This Purchase Order, together with any attached specifications, service-level agreements, and the Supplier's standard terms of sale (to the extent not contradicted herein), constitutes the entire agreement between the parties regarding the procurement of the Editor software, hardware, and services for use in Rome, Italy.
